What the Business Services SAM is and when it applies

The Business Services SAM is a standardized service agreement and authorization memorandum used to define scope, deliverables, pricing, and signatory authority for commercial services engagements. It documents parties, term, payment terms, deliverables, performance metrics, and acceptance criteria so that internal teams and external vendors share a single source of truth for execution and compliance.

Why a clear Business Services SAM matters

A well-prepared Business Services SAM reduces disputes, speeds procurement and onboarding, and clarifies billing and responsibilities. It provides an auditable record for internal controls, helps meet regulatory retention rules, and supports electronic execution and automated routing when paired with compliant eSignature workflows.

Why a clear Business Services SAM matters

Who typically completes and signs a Business Services SAM

The SAM is completed by procurement, contracting, or business unit leads and routed to legal and finance for review before signature.

  • Procurement and sourcing teams drive commercial terms, vendor evaluation, and internal approvals prior to signature.
  • Legal and contracts counsel confirm indemnities, warranties, governing law, and risk allocation before final execution.
  • Finance and accounts payable verify pricing, billing cadence, tax treatment, and appropriate budget codes.

Final signers are authorized officers or delegated signatories; verify signer authority before routing for signature.

Core components to include in a professional Business Services SAM

A robust SAM contains defined sections so reviewers can quickly locate obligations, pricing, timelines, and acceptance criteria for both parties.

Parties

Full legal names and entity type for each party, including DBA entries and registered addresses; matching names to tax IDs avoids future payment or tax issues.

Scope of Work

Concise description of services, deliverables, milestones, locations, and any excluded work so expectations and acceptance testing are unambiguous.

Compensation

Pricing model, invoicing frequency, payment terms, and late fee mechanics; reference to purchase order numbers and billing contacts reduces processing delays.

Term and Termination

Start and end dates, renewal terms, termination for convenience or cause, and post-termination obligations including transition assistance.

Compliance and Data

Security, data handling, and privacy obligations (HIPAA, FERPA as applicable), data return or destruction, and breach notification duties.

Signatures

Authorized signatory blocks with printed name, title, signature, and date. Note any witness or notarization requirements applicable by state or industry.

Step-by-step: completing and executing the Business Services SAM

Follow these core steps to prepare, review, and execute the SAM while maintaining an auditable trail.

  • 01
Draft: Populate all fields and attach scope exhibits.
  • 02
Internal review: Route to legal, procurement, and finance for approval.
  • 03
Authorize signer: Confirm delegated authority and record approver name.
  • 04
Execute: Use a compliant eSignature solution and capture the audit trail.

Typical routing and approval flow for the SAM

The SAM follows a linear workflow: draft, review, approval, signature, and distribution. Each step should add a timestamped audit entry.

  • Drafting: Author creates the SAM and attaches exhibits.
  • Review: Legal and finance add comments and approvals.
  • Signature: Signers receive signing links or invites.
  • Distribution: Final executed copy distributed to stakeholders.

Configuring an electronic workflow for the Business Services SAM

Recommended workflow settings reduce friction and improve auditability when sending the SAM for signature.

Field Configuration
Signing Order Sequential routing: author → legal → finance → vendor
Authentication Email link plus optional SMS code for added assurance
Reminders Auto-reminders after 3 and 7 days
Retention Save executed PDF + audit trail in contract repository

Technical considerations for eSigning and eSubmission

Use a platform that supports secure PDFs, audit trails, and integrations with your document repository and ERP.

  • File formats: PDF, DOCX supported
  • Integrations: Salesforce, NetSuite, Microsoft 365
  • Authentication: Email, SMS code, or higher

Ensure the chosen platform can export tamper-evident PDFs, retain metadata, and meet any industry compliance requirements before use.
