BUSINESS SERVICES SB — SERVICE AGREEMENT

This Business Services SB Agreement (the Agreement) is entered into as of Effective Date: by and between Service Provider: , located at , and Client: , located at .

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing professional business services, including but not limited to consulting, strategy, and operations support, and represents that it has the expertise, personnel, and resources to perform the services described herein; and

WHEREAS, Client desires to retain Service Provider to perform certain services for Client under the terms and conditions set forth in this Agreement, and Service Provider is willing to provide such services on the terms set forth below.

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement, the parties hereby agree as follows:

Compensation: Client shall pay Service Provider a total fee of $ for the Services described in Section 1, subject to the payment schedule below.

Late Payment: Past due amounts shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law from the invoice due date until paid in full. In addition, Client shall be responsible for reasonable collection costs, including attorneys' fees, incurred by Service Provider to collect overdue amounts.

3. Term and Termination

Term: The term of this Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Termination for Convenience: Either party may terminate this Agreement for any reason upon written notice to the other party delivered at least days prior to the effective date of termination. Termination shall not relieve Client of its obligation to pay for Services rendered and expenses incurred up to the effective date of termination.

4. Confidentiality

Definition: "Confidential Information" means all non-public, proprietary, or confidential information disclosed by either party to the other in connection with this Agreement, whether in oral, written, electronic, or other form, including but not limited to business plans, financial information, customer lists, trade secrets, methodologies, and pricing.

Obligations: Each party agrees to (a) hold Confidential Information in strict confidence using at least the same degree of care it uses with its own confidential information, (b) not use Confidential Information except as necessary to perform its obligations under this Agreement, and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

Exclusions: Confidential Information does not include information that (i) is or becomes generally available to the public other than by breach of this Agreement, (ii) was rightfully in the receiving party's possession prior to disclosure, or (iii) is independently developed without use of the disclosing party's Confidential Information.

5. Intellectual Property

Ownership: Except as expressly provided otherwise in a written statement executed by both parties, Service Provider retains all right, title and interest in any methodologies, tools, templates, and intellectual property developed prior to or outside the scope of this Agreement. Deliverables specifically created for Client under this Agreement shall be the sole property of Client upon full payment, subject to Service Provider's retention of underlying general know-how and pre-existing materials.

6. Indemnification and Limitation of Liability

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, damages, liabilities, and costs arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement.

Limitation of Liability: Except for liability arising from willful misconduct, gross negligence, or a party's violation of confidentiality or intellectual property obligations, neither party shall be liable for consequential, incidental, special, exemplary, or punitive damages. The aggregate liability of either party for claims arising under this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the six (6) months preceding the claim.

7. Insurance

Service Provider shall maintain at its expense insurance coverage customary for the industry appropriate to the services performed, including commercial general liability and professional liability insurance, and shall provide proof of such insurance upon Client's reasonable request.

8. Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the parties at the addresses set forth below or at such other address as either party may designate by written notice to the other.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Agreement.

10. Entire Agreement and Amendments

This Agreement, including all exhibits and schedules referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

11. Miscellaneous Provisions

Relationship of Parties: Service Provider is an independent contractor and nothing in this Agreement shall be construed to create an employment, agency, partnership, or joint venture relationship between the parties.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
