BUSINESS SERVICES SCC

This Business Services SCC (the "Agreement") is entered into as of Effective Date: by and between Service Provider: and Client: . Each of the foregoing may be referred to individually as a "Party" and collectively as the "Parties."

WHEREAS

WHEREAS, Service Provider has expertise and capacity to provide the professional business services described in this Agreement and agrees to perform such services for Client under the terms set forth herein; and

WHEREAS, Client desires to engage Service Provider to perform the services described in this Agreement and to compensate Service Provider as provided below; and

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the Parties agree as follows.

1. Scope of Work

Service Provider shall perform the services described below and any related deliverables expressly agreed in writing by the Parties. Service Provider will provide the services in a professional and workmanlike manner consistent with industry standards.

2. Payment Terms

Client shall pay Service Provider for the services performed in accordance with the fee schedule and payment provisions below. All amounts payable under this Agreement are exclusive of any applicable sales, use, value-added or other taxes, which shall be the responsibility of the paying Party unless otherwise required by law.

If Client fails to pay any undisputed amount within days after the due date, Service Provider may charge interest on the overdue amount at the lesser of (a) or (b) the maximum rate permitted by law. Service Provider may also suspend performance until past due amounts are paid.

3. Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

4. Confidentiality

Each Party acknowledges that during the performance of this Agreement it may receive Confidential Information of the other Party. "Confidential Information" means non-public information that is marked confidential or would reasonably be understood to be confidential given its nature and the circumstances of disclosure. Each Party shall: (a) use the Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure of the Confidential Information to employees, agents or subcontractors with a need to know who are bound by confidentiality obligations at least as protective as those herein; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential obligations survive termination for years, except that trade secrets shall be protected for so long as they remain trade secrets under applicable law.

5. Independent Contractor; Liability

Service Provider is an independent contractor and nothing in this Agreement creates an employment, partnership, joint venture or agency relationship. Except for willful misconduct or gross negligence, neither Party shall be liable to the other for indirect, incidental, special or consequential damages. The aggregate liability of Service Provider for any claim arising under this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the preceding the claim.

6. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below or to such other address as either Party designates by notice in accordance with this Section. Notices shall be deemed delivered upon receipt if delivered personally, by certified mail, or by overnight courier.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The Parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that State for any dispute arising out of this Agreement.

8. Entire Agreement; Amendments

This Agreement, together with any exhibits or attachments expressly incorporated in writing, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both Parties.

9. Miscellaneous

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither Party may assign this Agreement without the prior written consent of the other Party, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.
