Practical Tips for Accurate Completion

Adopt these practices to reduce signature delays and downstream disputes when using the Business Services Schiavoni.

Standardize Templates
Use a single controlled template to ensure consistent clauses, fields, and revision history. This reduces legal review time and ensures that required fields are not omitted.
Validate Signer Authority
Confirm signers have authority to bind their organization. Request signed corporate resolutions or proof of delegation for first-time vendors.
Use Clear Dates
Enter effective, delivery, and milestone dates in MM/DD/YYYY format. Clear date fields reduce interpretation errors and clarify trigger points for payments.
Preserve Audit Trails
Maintain a tamper-evident record of signing events, IP addresses, and timestamps. Audit trails support enforceability under ESIGN and help resolve disputes.

Real-World Examples and Outcomes

Two customer scenarios illustrate practical benefits and common outcomes when the agreement and eSigning are used correctly.

Optica Ventures (Brian Fitzgibbons)

Optica standardized service agreements to reduce execution time by removing negotiation on routine terms.

  • The team used template fields for scope and pricing to avoid omissions.
  • As a result, customer acceptance increased and operational handoffs required fewer clarifications, improving project start times and billing accuracy.

Martin Properties (Tim Martin)

A property services firm moved vendor contracts online to manage seasonal renewals remotely.

  • They adopted authenticated electronic signatures for all vendors.
  • This allowed secure mobile signing, consistent record retention, and fewer missed renewals during busy field seasons.

Who Can Sign on Behalf of a Party

Authorized Signatory — CEO

Typically an executive with delegated signing authority such as a CEO or CFO. Verify delegation via corporate resolution or officer certificate where the counterparty requires formal proof before relying on a signature.

Operational Contact — Project Manager

Project managers often sign for operational approvals when granted explicit authority in procurement policies. Their signatures should be backed by documented delegation to avoid post-execution challenges.
