The Business Services Scruggs is a standardized business services agreement template used to define scope, deliverables, payment terms, and responsibilities between a service provider and a client. It documents parties, effective date, performance milestones, fees, confidentiality obligations, and termination provisions to create a clear contractual record. The form is suitable for consulting, maintenance, professional services, and ongoing managed services engagements and can be completed on paper or electronically where permitted by federal and state e-signature law.

Practical tips for accurate and efficient completion

Follow these best practices to reduce rework, speed approvals, and preserve enforceability when using the Scruggs template.

Use standardized templates
Start from a vetted template to avoid clause drift. Standardization speeds legal review, reduces negotiation cycles, and minimizes the risk of conflicting provisions across multiple client agreements.
Verify signer authority
Confirm the signer's role and signing authority before finalizing. POAs or corporate resolutions may be required for signers who lack automatic signing powers.
Record consent for e-sign
When obtaining electronic signatures for consumer-facing agreements, document the consumer disclosure and consent as required by ESIGN (15 U.S.C. §7001).
Attach exhibits clearly
Label and paginate all exhibits and reference them in main clauses. Missing exhibits are a common cause of contract disputes and invoice rejections.
