What the Business Services SDI Is and when it’s used

A Business Services SDI (Service Delivery Instruction) is a structured document that defines the scope, deliverables, acceptance criteria, timelines, invoicing terms, and routing instructions for a contracted business service. It converts verbal agreements into a clear operational plan so internal teams and external vendors understand responsibilities, delivery milestones, and billing triggers. SDIs are commonly attached to master services agreements or statements of work and are used across procurement, IT, facilities, and professional services functions to reduce ambiguity and speed operational handoffs while preserving an auditable record.

Why a clear SDI matters for service delivery

A well-prepared SDI reduces delivery disputes, sets measurable acceptance criteria, and aligns invoicing to completed milestones. It creates a single reference for operations, legal, and finance, and supports consistent performance monitoring and auditability under contract terms and regulatory obligations.

Why a clear SDI matters for service delivery

Who typically completes and consumes a Business Services SDI

SDIs are assembled by teams coordinating external or internal services and shared with stakeholders for review, approval, and performance tracking.

  • Procurement and contracts teams preparing scope, SLAs, and billing milestones for vendor engagements.
  • Project managers and operations leads who need explicit acceptance criteria and handoff triggers.
  • Finance/accounts payable for invoice matching, payment terms, and audit support.

Finalized SDIs circulate to delivery leads, contract managers, billing teams, and any authorized signers who accept the services and terms.

Essential components to include in a professional SDI

An effective SDI organizes delivery details so reviewers can verify scope, timelines, responsibilities, and payment triggers at a glance. Each section should be concise, measurable, and linked to the governing contract.

Scope

Concise description of services, deliverables, and exclusions so parties share a common understanding of what will be provided and what is out of scope.

Deliverables

List deliverables with versioning and acceptance criteria, including format, quantity, and measurable tests or sign-off items for each deliverable.

Schedule

Key milestones, target dates, and dependencies with designated owners, escalation contacts, and blackout periods for planning and resource allocation.

Acceptance

Clear acceptance tests, review windows, and remediation steps when deliverables fail to meet agreed standards or require revisions.

Billing

Payment triggers, invoicing schedule, acceptable invoice formats, and any holdback amounts tied to warranty or acceptance periods.

Routing

Approval routing, authorized signers, version control instructions, and where final signed copies will be stored for compliance and audit.

Security, compliance, and record elements to capture

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Access control: Role-based access and account permissions
Audit trail: Timestamped events, IP, and action history
HIPAA readiness: BAA required for PHI workflows
Retention policy: Document retention and version history
Authentication: Email/SMS/KBA or stronger signer authentication

Step-by-step: prepare and finalize a Business Services SDI

Follow these sequential steps to create, approve, and record an SDI so the service is delivered to agreed standards and payments align with accepted work.

  • 01
Draft the SDI: Define scope, deliverables, milestones, and acceptance criteria.
  • 02
Review internally: Circulate to ops, legal, and finance for comments and redlines.
  • 03
Obtain approvals: Route to authorized signers and capture signatures in order.
  • 04
Store and distribute: Save the signed SDI in the contract repository and notify stakeholders.

Typical routing and sign-off flow for an SDI

SDI workflows map document progression from draft to signed copy; the diagram below represents common touchpoints and the expected outcomes at each step.

  • Create: Author attaches SDI to master contract and populates key fields.
  • Internal review: Legal and finance confirm compliance with contract terms.
  • External review: Vendor or service owner reviews deliverables and timelines.
  • Final signing: Authorized signers sign; system records audit data.

How to configure an online SDI workflow

Set up fields, routing order, and authentication to reflect your approval hierarchy and compliance needs before sending an SDI for signature.

Field Configuration
Signer order Define sequential or parallel signing steps
Authentication level Email only, SMS code, or knowledge-based options
Conditional fields Show or hide fields based on prior responses
Storage destination Specify contract repository or cloud folder

Digital signing and delivery considerations

Choose signer authentication, PDF compatibility, and storage integrations to meet internal security and regulatory requirements.

  • File formats: PDF, DOCX, and common office formats supported
  • Integrations: CRM, ERP, cloud storage connectors available
  • Audit and export: Exportable audit trails and signed PDFs

Ensure the platform supports required integrations and provides the encryption, auditability, and authentication strength your compliance policy requires.

Common timelines and processing expectations for SDIs

Set realistic review and approval windows to avoid delays in delivery and invoicing; communicate these deadlines in the SDI itself to align expectations.

Internal review window:

3–5 business days for legal and finance review

Vendor review period:

5–10 business days to respond or request changes

Acceptance test window:

Typical 7–14 day review after deliverable submission

Invoice submission:

Submit within agreed billing cycle after acceptance

Payment term:

Net 30 or as specified in master agreement

Common mistakes when preparing a Business Services SDI

  • Vague deliverable descriptions that lack measurable acceptance criteria, causing disputes over whether work meets contract standards.
  • Missing routing or signer authorization, which delays approvals because the person with signature authority was not specified.
  • Unclear billing triggers or mismatched invoice formats that prevent timely invoice processing and payment reconciliation.
  • Failing to record version history and approvals, which complicates audits and makes it hard to prove which terms applied at time of delivery.

Risks and potential penalties from incorrect SDIs

Payment delays: Invoices disputed or held
Contract disputes: Work performed outside agreed scope
Regulatory exposure: Noncompliance in regulated industries
Audit findings: Missing records or incomplete trails
Reputational harm: Supplier relationship damage
Financial penalties: Late fees or corrective costs
