What the Business Services SDLG Is and where it fits

The Business Services SDLG is a standardized service document used by companies to describe scope, deliverables, responsibilities, timelines, pricing, and signature authority for a commercial services engagement. It organizes obligations, acceptance criteria, change-order processes, invoicing terms, and dispute-handling provisions in a single record to reduce ambiguity between parties and support audit trails during performance and closeout.

Why a clear SDLG matters for contract administration

A concise SDLG clarifies scope, reduces disputes, and makes performance measurable. It provides a document record that supports billing, compliance, and auditability while establishing the timing and authority for approvals and sign-off.

Why a clear SDLG matters for contract administration

Typical users and teams that complete this document

Use the SDLG to centralize decisions and signatures so invoices, change orders, and closeout records reference the same authoritative source.

  • Project managers and operations leads who track deliverables, milestones, and acceptance criteria.
  • Procurement, legal, and finance personnel responsible for pricing, payment terms, and risk allocation.
  • Client-facing account managers who confirm scope, change requests, and final acceptance.

Core sections to include in a professional SDLG

A well-constructed SDLG is modular and repeatable: include scope, deliverables, timelines, pricing, roles, and acceptance. Each section should be explicit to reduce interpretation risk and to support electronic signature and retention policies.

Scope

Define specific services, exclusions, measurable outputs, and any assumptions that limit ambiguity during performance and billing.

Deliverables

List tangible deliverables, delivery formats, acceptance criteria, and required documentation for customer sign-off and recordkeeping.

Timelines

Specify milestone dates, delivery windows, review periods, and remedies for missed deadlines to manage expectations.

Pricing

Describe fees, billing intervals, reimbursable expenses, tax treatment, and any escalation or discount mechanisms.

Change Control

Include a defined process for change requests, approval authority, pricing adjustments, and how changes affect timelines.

Signatures & Authority

Identify authorized signers, required witness or notary steps (if any), effective date, and post-signature distribution obligations.

Step-by-step: completing and circulating the SDLG

Follow these sequential steps to prepare, approve, and archive the SDLG with clear signatory authority and an audit trail.

  • 01
Draft: Populate scope, deliverables, pricing, and dates.
  • 02
Internal review: Obtain legal, finance, and operations clearance.
  • 03
Send for signature: Route to authorized signers with required authentication.
  • 04
Archive: Store executed copy with audit trail and supporting documents.

How to set up a digital SDLG workflow

Map roles and automation before sending the SDLG to avoid routing errors and to ensure traceable approvals.

Field Configuration
Signer Order Sequential or parallel routing based on approval authority
Authentication Email link, SMS code, or KBA depending on sensitivity
Notifications Automated reminders and escalation after set days
Storage S3/Box/NetSuite archival with retention tags

Where to send and how the SDLG moves after signing

Define routing destinations and who receives final copies so billing, delivery, and legal retain consistent records.

  • Client Copy: Deliver final PDF with audit trail to client email and designated folder
  • Finance: Send executed SDLG to accounts payable for invoicing and reference
  • Project Team: Notify project manager and store in team repository
  • Legal Archive: Store master copy in legal records with retention metadata

Digital signing and technical considerations

Choose a platform that supports required authentication, audit trails, and the file formats you use.

  • Formats: PDF, DOCX supported
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Security: AES-256 at rest

Common preparation pitfalls to avoid

  • Unclear scope language that creates differing expectations for deliverables and acceptance.
  • Missing signer authority when signers lack delegated approval, requiring re-execution and delays.
  • Incorrect payment terms or missing tax identifiers that trigger withholding or invoice rejection.
  • Failure to attach exhibits or schedules referenced in the SDLG, rendering key obligations unenforceable.

Security and compliance essentials to include

Encryption: TLS 1.2/1.3 in transit
Data at rest: AES-256 encryption
Audit Trail: Timestamps and IPs recorded
HIPAA: BAA required for PHI
21 CFR Part 11: Support for FDA-regulated records
Access Controls: SSO and role-based permissions

Risks and consequences of incorrect or incomplete SDLGs

Breach Claims: Liability for non-performance
Payment Delays: Invoices may be denied
Tax Exposure: Backup withholding risks
Invalid Signature: Enforceability questions
Regulatory Fines: HIPAA or industry penalties
Audit Failures: Records unavailable or incomplete

Key dates and timing elements to document

Document these dates prominently to align invoicing, acceptance, change order windows, and retention obligations.

Effective Date:

MM/DD/YYYY; starts obligations and statute timing

Milestone Due Dates:

List each deliverable due date and review window

Invoice Due Date:

Payment terms such as Net 30 from invoice date

Change Request Window:

Days allowed for review and approval of change orders

Warranty Period:

Define acceptance warranty or remedy period

Milestones: lifecycle stages from draft to closeout

Track the SDLG from initial draft through performance, acceptance, and archival using clear milestone names.

01

Draft and Internal Approval

Legal and finance complete review before external circulation

02

External Signature

Authorized parties execute the SDLG and set the effective date

03

Performance and Acceptance

Deliverables produced and customer acceptance recorded

04

Closeout and Archive

Final invoice issued and executed SDLG archived with metadata

Use a single master template
Maintain a centrally managed SDLG template with approved clauses to reduce inconsistent language and limit attorney review to exceptions.
Validate signer authority
Confirm signatory authority in advance via delegation records to prevent re-execution and administrative delay.
Attach exhibits explicitly
Embed or attach referenced schedules and exhibits so that the executed SDLG contains all contractually referenced materials.
Preserve the audit trail
