What the Business Services SEPCO Is and When It’s Used

The Business Services SEPCO is a standardized service agreement and execution checklist used to record scope, deliverables, pricing, performance standards, and administrative details for outsourced or vendor-delivered business services. It combines a statement of work, service-level expectations, billing instructions, and signature blocks so contracting parties have a single reference for obligations, acceptance criteria, and change-order handling during the contract lifecycle.

Why a Clear SEPCO Benefits Both Parties

A well-prepared Business Services SEPCO reduces scope disputes, clarifies payment and acceptance steps, and documents responsibilities for audits and regulatory review.

Why a Clear SEPCO Benefits Both Parties

Who Typically Prepares or Signs a SEPCO

Different teams touch a SEPCO during negotiation, procurement, delivery, and closeout.

  • Procurement and sourcing teams — prepare scope, vendor selection, and pricing.
  • Operations and project managers — verify deliverables, acceptance criteria, and schedules.
  • Finance and accounts payable — confirm billing instructions, tax reporting, and payment terms.

Multiple stakeholders should review the SEPCO before final signatures to reduce downstream changes and billing disputes.

Core Sections to Include in a Professional SEPCO

A complete SEPCO groups commercial, technical, schedule, and administrative terms so each party knows responsibilities and remedies.

Scope of Work

Define tasks, deliverables, acceptance criteria, and measurable outputs so there is no ambiguity about what the supplier must deliver.

Pricing and Billing

Specify fixed fees, time-and-materials rates, milestone payments, invoice frequency, and any retainers to avoid payment disputes.

Service Levels

State performance metrics, measurement methods, remedies for missed targets, and escalation points for operational issues.

Term and Termination

List contract duration, renewal mechanics, termination rights, notice periods, and post-termination transition obligations.

Confidentiality

Include non-disclosure terms, permitted use of data, and any data security or privacy requirements tied to industry law.

Signatures

Identify authorized signers, signature dates, and any notarization or witness requirements to validate execution.

Step-by-Step: How to Complete and Execute the SEPCO

Follow these sequential steps to prepare, review, and execute the SEPCO with minimal rework.

  • 01
Draft: Populate standard fields and attach exhibits referenced in the scope.
  • 02
Internal Review: Legal, procurement, and finance should confirm commercial and compliance clauses.
  • 03
Client Review: Send draft to counterparty for markups and reconcile changes.
  • 04
Execute: Obtain signatures from authorized signatories and retain the signed copy.

Configuring an Online SEPCO Workflow

When moving the SEPCO to an eSignature platform, configure authentication, templates, and routing to match approvals.

Field Configuration
Signature Authentication Email link with optional SMS code or KBA depending on signer risk profile
Template and Fields Use reusable templates, conditional fields, and predefined dropdowns to reduce entry errors
Bulk Send Enable when issuing identical SEPCOs to multiple recipients to save time
Storage and Export Save signed PDFs as PDF/A and archive to your document repository

Where to Send or File the Completed SEPCO

Document routing depends on your internal controls; use consistent destinations to ensure auditability.

  • Client Records: Send the executed copy to the client and their primary contract contact for their files.
  • Accounts Payable: Forward invoices and payment instructions to finance with the signed SEPCO attached.
  • Contract Repository: Archive final PDF in the central contract management system for search and reporting.
  • Regulatory Filings: File any regulatory or tax forms associated with the relationship according to agency rules.

Distribution Methods and Technical Considerations

Choose distribution channels that match signer accessibility and internal retention policies.

  • Email: Simple delivery for single recipients; preserves timestamps and links
  • Secure Link: Guest signing via secure link reduces account friction for external signers
  • API Integration: Automate routing to repositories or ERP systems using integrations

Security and Compliance Essentials to Note

Encryption: TLS 1.2/1.3 in transit, AES-256 at rest
Audit Trail: Detailed timestamps, IP, and action logs
HIPAA: HIPAA support available; BAA required
ESIGN / UETA: Complies with ESIGN and UETA legal standards
SOC 2: SOC 2 Type II certification available
21 CFR Part 11: Controls for FDA-regulated records supported

Key Dates and External Filing Deadlines to Watch

Track contract effective dates, invoicing milestones, and tax reporting deadlines tied to SEPCO activity.

Contract Effective Date:

Determines when obligations and notice windows begin

Billing Cycle:

Align invoice frequency with payment-terms in the SEPCO

Payment Terms:

Net terms (e.g., Net 30) set due dates for AP

1099-NEC Reporting:

Report contractor payments by Jan 31 per IRS rules

Record Retention:

Preserve records for IRS and audit timelines

Consequences and Common Legal Risks

Tax Filing Penalties: 1099 late penalties $60–$330 (IRC §6721)
Intentional Disregard: $660+ per form, no maximum
I-9 Violations: Paperwork fines $281–$2,789 per violation
Breach Claims: Damages, injunctive relief, and legal costs
Data Breach: Regulatory fines and remediation costs
Invalid Signature: Execution defects may void parts of agreement

Common Preparation Errors to Avoid

  • Using informal or inconsistent party names that conflict with corporate registration and tax documents.
  • Failing to attach referenced exhibits or schedules, leaving scope and pricing undefined at execution.
  • Omitting clear acceptance criteria or delivery milestones, which often leads to scope disputes and delayed payments.
  • Confusing signature roles by allowing unauthorized signers rather than documented corporate officers or delegated representatives.

Practical Tips for Accurate SEPCO Completion

Apply consistent controls to reduce rework, ensure enforceability, and speed approvals.

Standardize templates
Use a consistent company template with preapproved clauses to accelerate review and maintain compliance across contracts.

Attach exhibits
Include all technical, pricing, and schedule exhibits referenced in the SEPCO to avoid interpretation disputes.
