This Business Services Agreement ("Agreement") is entered into as of by and between the parties identified below.

Parties

WHEREAS

WHEREAS, Client desires to retain Service Provider to perform certain business services on the terms and conditions set forth in this Agreement; and

WHEREAS, Service Provider represents that it has the requisite experience, personnel, and technical capability to perform the services described in this Agreement and will perform such services in a professional and workmanlike manner.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

Scope of Work

Service Provider shall perform the services and deliverables described below. The description below and any attachments constitute the complete Scope of Work.

Payment Terms

Client shall pay Service Provider the fees set forth below in exchange for the services described in this Agreement. All fees are payable in United States dollars unless otherwise agreed in writing.

Invoices are due and payable within days of receipt unless otherwise agreed. Late payments shall accrue interest at the lesser of (a) % per month or (b) the maximum rate permitted by applicable law, plus any collection costs and attorneys' fees incurred to enforce payment.

Client is responsible for all taxes, duties, and assessments imposed on transactions under this Agreement, except taxes based on Service Provider's net income.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue in effect until the completion of the services or until terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for cause upon written notice if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any Confidential Information received from the other party. "Confidential Information" means non-public business, technical and financial information marked confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall use Confidential Information solely to perform its obligations under this Agreement, shall restrict access to those employees and contractors who need to know, and shall be responsible for breaches by its representatives. Upon written request or termination, the receiving party shall promptly return or destroy the disclosing party's Confidential Information.

Confidentiality obligations shall survive termination for a period of years, except that trade secrets and proprietary pricing formulas shall remain protected for as long as they qualify as trade secrets under applicable law.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that State for any disputes arising under this Agreement.

Miscellaneous Provisions

Independent Contractor: Service Provider is an independent contractor. Nothing in this Agreement creates an employment, joint venture, partnership or agency relationship between the parties.

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.

Entire Agreement

This Agreement, including any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendments or modifications must be in writing and signed by authorized representatives of both parties.
