BUSINESS SERVICES SFC

This Business Services Agreement (Agreement) is entered into on Execution Date: by and between Service Provider Name:

RECITALS

WHEREAS, Service Provider is duly organized and experienced in providing professional business services including consulting, implementation, and managed operations; and

WHEREAS, Client desires to engage Service Provider to render the services described in this Agreement and Service Provider agrees to provide such services under the terms and conditions set forth below.

SCOPE OF WORK

Service Provider shall perform the services and deliverables as set forth in the description below. Service Provider will exercise commercially reasonable efforts to achieve the milestones and deliverables in accordance with the schedule agreed by the parties.

PAYMENT TERMS

In consideration of the performance of the services, Client shall pay Service Provider the fees and reimbursements set forth below. All fees are payable in United States currency and are exclusive of applicable taxes unless otherwise stated.

Client shall reimburse reasonable, pre-approved out-of-pocket expenses incurred by Service Provider in performing the services. Unless otherwise agreed in writing, expenses in excess of require prior written approval.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement without cause upon written notice delivered at least days prior to the effective date of termination. For material breach, the non-breaching party may terminate if the breaching party fails to cure the breach within days after written notice specifying the breach.

Upon termination, Client shall pay Service Provider for services performed and reimbursable expenses incurred through the effective date of termination. Delivery of confidential materials and return of Client property shall be completed within thirty (30) days of termination unless otherwise agreed.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by either party that is marked confidential or would reasonably be understood to be confidential. Each party agrees to (i) hold Confidential Information in strict confidence; (ii) use Confidential Information solely to perform obligations under this Agreement; and (iii) restrict disclosure to employees, contractors, or advisors with a need to know who are bound by confidentiality obligations at least as protective as those herein.

Confidential Information does not include information that: (a) is or becomes generally available to the public through no breach by the receiving party; (b) was rightfully in the receiving party's possession without restriction prior to disclosure; (c) is lawfully obtained from a third party without breach of obligation; or (d) is independently developed by the receiving party without reference to the disclosing party's Confidential Information. A receiving party may disclose Confidential Information to the extent compelled by law, provided it gives prompt notice to allow the disclosing party to seek protective measures.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes through negotiation; if unresolved, either party may pursue any remedy available under the governing law.

MISCELLANEOUS

Relationship of the Parties: Service Provider is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship.

Assignment: Neither party may assign this Agreement without the other party's prior written consent, except to an affiliate or successor to substantially all of its business assets, provided the assignee assumes the assigning party's obligations.

Indemnification: Each party will indemnify, defend and hold the other harmless from third-party claims arising from its negligent acts or willful misconduct in performance of this Agreement, subject to any limitations on liability set forth in a separate writing signed by the parties.

ENTIRE AGREEMENT

This Agreement, including all attachments and statements of work executed under it, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
