What the Business Services SHA Document Is

A Business Services SHA Document is a written agreement used when shareholders, partners, or related parties establish terms for providing business services between ownership interests or affiliated entities. It defines roles, service scope, performance expectations, compensation, dispute resolution, confidentiality, and decision rights tied to shareholder relationships. The document clarifies governance where service delivery and equity ownership overlap, reducing ambiguity about who provides services, how fees are calculated, and how service-related disputes affect shareholder obligations. Parties commonly use it alongside corporate bylaws, operating agreements, or service contracts to align commercial and ownership terms.

Why this document matters for services and ownership

A Business Services SHA Document aligns service obligations with shareholder governance to prevent conflicts, set measurable expectations, and document compensation that may affect tax and fiduciary duties.

Why this document matters for services and ownership

Who typically prepares or signs this document

The document is used by business owners, corporate counsel, and executives when service delivery intersects with ownership interests.

  • Small business owners and founders who provide ongoing services to the company and need formal terms.
  • Corporate legal teams drafting governance-compliant service arrangements between shareholders.
  • Investors or minority shareholders seeking clarity on service fees, conflicts, and exit implications.

Use by these groups helps avoid disputes and supports consistent treatment for accounting, tax reporting, and corporate governance.

Representative parties and roles

Company Executive

A founder or executive who both owns shares and provides services; typically negotiates service scope, measurable deliverables, and compensation tied to corporate budget and fiduciary duties. Clarity prevents perceived self-dealing and supports board approvals.

Outside Counsel

A lawyer who prepares or reviews the SHA to ensure enforceability, compliance with corporate law and tax rules, and alignment with bylaws or operating agreements; counsel often advises on conflict-of-interest disclosures and documentation.

Key security and compliance items to record

Encryption in transit: TLS 1.2/1.3
Encryption at rest: AES-256
Audit trail: Timestamp and IP
HIPAA support: BAA available
21 CFR readiness: Part 11 controls
Access controls: SSO and MFA

Principal risks of an incomplete or incorrect SHA

Tax exposures: Misstated compensation risks penalties
Breach claims: Unclear duties invite litigation
Fiduciary issues: Undisclosed self-dealing allegations
Enforceability gaps: Missing signatures or conditions
Regulatory noncompliance: HIPAA or security lapses
Recordkeeping failures: Retention violations and fines

Common preparation mistakes to avoid

  • Failing to define services precisely, which leads to disputes over deliverables and payment timing.
  • Omitting conflict-of-interest disclosures or board approvals where shareholder-provided services affect corporate decisions.
  • Using vague compensation language such as 'reasonable fees' without formulas or measurement criteria.
  • Neglecting record retention instructions and signature attribution, weakening enforceability and audit readiness.

Step-by-step: completing the Business Services SHA Document

Follow a clear sequence when preparing and executing the SHA to ensure legal compliance and operational clarity.

  • 01
Prepare parties: List full legal names and entity types.
  • 02
Define services: Describe scope, deliverables, and performance metrics.
  • 03
Set compensation: Specify amounts, formulas, and invoicing cadence.
  • 04
Sign and retain: Collect signatures, notarize if required, and archive copies.

Typical lifecycle from draft to archived agreement

A predictable workflow helps stakeholders track approvals and maintain a compliant record of service arrangements among shareholders.

  • Drafting: Create initial terms and identify attachments or exhibits.
  • Review: Legal and finance review for tax and governance implications.
  • Execution: Signatures collected and authenticated, notarized if necessary.
  • Storage: Securely store executed copies with retention metadata.

Essential clauses and sections to include

A robust Business Services SHA Document includes operational, legal, and administrative provisions that together reduce ambiguity and support enforceability.

Board approval requirements, conflict-of-interest disclosures, voting impacts, and how service arrangements affect shareholder rights.

Confidentiality

Non-disclosure terms, permitted disclosures, data handling responsibilities, and IP ownership for work product.

Dispute resolution

Configuring an online signing workflow

Authentication Email link, SMS code, or stronger methods
Required fields Make names, dates, and compensation mandatory

  • Integrations: CRM, ERP, and document storage
  • File formats: PDF, DOCX, and export to archival formats
  • Authentication options: Email, SMS, KBA, or SSO

Ensure the selected service supports ESIGN/UETA compliance, secure storage, and the export formats required for audits and legal review.
