BUSINESS SERVICES AGREEMENT — SHANTUI

This Business Services Agreement ("Agreement") is entered into as of Date: by and between the following parties:

Recitals

WHEREAS, Service Provider is engaged in the business of providing specialized business services, including consulting, project management, equipment provisioning and related support services, and represents that it has the qualifications, experience, and ability to perform such services; and

WHEREAS, Client desires to retain Service Provider to perform certain services for Client on the terms and conditions set forth in this Agreement, and Service Provider is willing to provide such services to Client pursuant to this Agreement; and

WHEREAS, the parties intend for this Agreement to set forth the full understanding regarding the scope, delivery, compensation and confidentiality of the services to be provided.

Scope of Work

Service Provider shall perform the services and deliverables described below in accordance with the terms of this Agreement. The parties acknowledge that specific tasks, milestones and acceptance criteria are set forth in the Scope of Work field and any attachments referenced therein.

Payment Terms

Client shall pay Service Provider for the services performed as follows.

Invoices shall be issued in accordance with the Payment Schedule above and are due and payable within days of invoice date. Late payments shall accrue interest at the rate of on the outstanding balance, or the maximum rate permitted by law, whichever is lower.

All fees are exclusive of taxes. Client shall be responsible for any applicable sales, use, value‑added or other taxes arising from this Agreement, except taxes based on Service Provider's net income.

Term and Termination

Term: This Agreement shall commence on the Commencement Date set forth above and shall continue until the Completion Date unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach by the other party if such breach is not cured within days after written notice of breach. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred prior to the effective date of termination.

Confidentiality

Definition: "Confidential Information" means all non-public information disclosed by either party to the other, whether oral, written or electronic, that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: The receiving party shall (a) maintain Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but not less than reasonable care; (b) not use Confidential Information for any purpose outside the scope of this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as those set forth in this Agreement.

Exclusions: Confidential Information does not include information that is (i) or becomes publicly available without breach of this Agreement, (ii) rightfully known to the receiving party at the time of disclosure, (iii) rightfully received from a third party without restriction and without breach of an obligation of confidentiality, or (iv) independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

Duration: The obligations in this Confidentiality section shall survive termination of this Agreement for a period of years, except with respect to trade secrets, which shall remain protected for as long as such information qualifies as a trade secret under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for disputes arising under this Agreement.

Miscellaneous

Entire Agreement: This Agreement, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written.

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that Service Provider may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.

Independent Contractor: Service Provider is an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency relationship, or employment relationship between the parties.

Limitation of Liability: Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for indirect, incidental, consequential or punitive damages, and the total aggregate liability of each party shall not exceed the total fees paid by Client to Service Provider under this Agreement in the twelve (12) months preceding the claim.
