This Business Services Agreement (the Agreement) is entered into as of , by and between:

Recitals

WHEREAS, Service Provider is engaged in the business of providing professional business consulting, advisory, administrative and related services; and

WHEREAS, Client desires to retain Service Provider to perform certain services described in this Agreement, and Service Provider agrees to provide such services under the terms and conditions set forth herein.

Scope of Work

Service Provider shall perform professional services for Client as described below. Services shall include deliverables, milestones, and any exclusions set forth in this Scope.

Payment Terms

Client shall pay Service Provider as compensation for services rendered under this Agreement in accordance with the terms set forth below.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured after the notice period specified above. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred through the effective date of termination.

Confidentiality

"Confidential Information" means non-public information disclosed by one party ("Discloser") to the other ("Recipient") that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that (a) is or becomes generally known to the public through no act or omission of Recipient; (b) was in Recipient's lawful possession prior to the disclosure; (c) is rightfully received by Recipient from a third party without a duty of confidentiality; or (d) is independently developed by Recipient without use of or reference to Discloser's Confidential Information.

Recipient shall (i) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, (ii) use Confidential Information solely to perform obligations under this Agreement, and (iii) not disclose Confidential Information to third parties except as necessary to perform the Agreement and subject to written confidentiality obligations. The obligations hereunder shall survive termination of this Agreement for a period of years.

Liability; Remedies

Except for liability arising from willful misconduct or gross negligence, the aggregate liability of Service Provider for any claim arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement. Both parties acknowledge that monetary damages would be inadequate to remedy certain breaches and agree that injunctive relief may be sought in addition to any other remedies.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, including any schedules and exhibits attached hereto and any statements of work executed under this Agreement, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.
