What the Business Services SHI Template Is

The Business Services SHI Template is a standardized service agreement used by businesses to document scope, responsibilities, pricing, and delivery terms for professional services. It consolidates core contractual elements—parties, term, payment terms, acceptance criteria, confidentiality, and liability limits—into a single reusable form. The template is intended to reduce drafting time, ensure consistent risk allocation across engagements, and make approvals repeatable. It is suitable for project-based work, ongoing retained services, and short-term engagements where a clear, concise written agreement clarifies expectations and reduces disputes.

Why This Template Matters for Business Transactions

A consistent template helps control legal and operational risk, speeds contract turnaround, and ensures key terms are not omitted. Using a standard form improves internal review efficiency and simplifies audit trails for billing and compliance purposes.

Why This Template Matters for Business Transactions

Typical Users and Signers

Teams that commonly use this template include procurement, operations, legal, and client-facing account managers.

Final signatures are typically provided by authorized contracting officers or executives with delegated signing authority.

Roles Who May Sign

Operations Manager

An operations manager often signs low- to mid-value service agreements under a delegated authority. They confirm scope, delivery dates, and acceptance criteria, and handle operational disputes and change requests on behalf of the organization.

General Counsel

General counsel or delegated legal approvers review indemnities, limitations of liability, and compliance clauses. Their signature or approval confirms legal risk has been assessed and any necessary mitigations are in place before execution.

Essential Security and Compliance Details

Encryption: AES-256 at rest
In-transit: TLS 1.2/1.3
Certifications: SOC 2 Type II
Privacy Laws: GDPR, CCPA
Healthcare: HIPAA (BAA required)
FDA Records: 21 CFR Part 11 support

Key Legal Risks to Watch For

Incorrect Tax Info: Backup withholding risk
Late Filings: IRC §6721 penalties
I-9 Noncompliance: Civil fines per 8 CFR
HIPAA Violations: Civil/criminal penalties
Unsigned Amendments: May be unenforceable
Unauthorized Signer: Contract voidability risk

Common Preparation Pitfalls

  • Using inconsistent party names that differ from tax or corporate records, which can trigger backup withholding or contract disputes.
  • Omitting effective dates or relying on verbal start dates, leading to ambiguity about obligations and billing cycles.
  • Failing to attach scope exhibits or SOWs, which creates disagreements over deliverables and acceptance criteria.
  • Neglecting to confirm signatory authority or corporate approval limits, which can render the agreement unenforceable.

How Organizations Use the SHI Template
