BUSINESS SERVICES SIA - BUSINESS SERVICES AGREEMENT

Parties and Effective Date

This Business Services Agreement (the Agreement) is entered into as of (Effective Date), by and between:

RECITALS

WHEREAS, Client seeks to engage Provider to perform certain professional business services on the terms and conditions set forth in this Agreement; and

WHEREAS, Provider represents that it has the expertise, personnel, and resources required to perform the services described herein and agrees to provide such services in accordance with this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Provider shall perform the services described below (the Services). Provider shall perform the Services in a professional and workmanlike manner consistent with industry standards.

Payment Terms

As consideration for the Services, Client shall pay Provider in accordance with the terms below.

Payment is due within days of Client's receipt of an undisputed invoice. Unpaid amounts shall accrue interest at a rate of on outstanding balances, and Client shall reimburse Provider for all collection costs, including reasonable attorneys' fees.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for cause upon written notice if the other party materially breaches this Agreement and fails to cure such breach within 15 days of receipt of written notice specifying the breach.

Confidentiality

"Confidential Information" means all non-public information disclosed by one party to the other in connection with this Agreement. The receiving party shall hold in confidence and shall not disclose or use Confidential Information except as necessary to perform under this Agreement. The obligations in this Section do not apply to information that (a) is or becomes publicly known through no fault of the receiving party; (b) was rightfully in the receiving party's possession prior to disclosure; (c) is rightfully obtained from a third party without breach of an obligation of confidentiality; or (d) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

The confidentiality obligations shall survive termination of this Agreement for a period of from the date of termination, except with respect to trade secrets, which shall be protected for as long as they remain trade secrets under applicable law.

Independent Contractor; Compliance

Provider is an independent contractor and nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship. Provider is solely responsible for all taxes, withholdings, and benefits for its personnel. Provider shall comply with all applicable laws and regulations in performing the Services.

Representations; Insurance

Each party represents that it has the authority to enter into this Agreement. Provider represents that it carries or will obtain adequate insurance coverage for the Services and will provide certificates of insurance upon Client's reasonable request.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to principles of conflict of laws. The parties submit to the exclusive jurisdiction of the courts located within that jurisdiction for resolution of disputes arising under this Agreement.

Limitations of Liability

Except for liability resulting from willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, punitive, or special damages, and the total aggregate liability of either party for any claim arising out of or relating to this Agreement shall not exceed the total fees actually paid by Client to Provider under this Agreement in the twelve (12) months preceding the event giving rise to the claim.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing.

General Provisions

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors, and neither party has authority to bind the other except as expressly set forth herein. Headings are for convenience only and shall not affect interpretation.
