BUSINESS SERVICES SIG

This Business Services Agreement (the "Agreement") is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

Recitals

WHEREAS, Client requires professional services relating to business operations, implementation, and advisory support as further described below; and

WHEREAS, Service Provider represents that it possesses the necessary skill, personnel and resources to provide such services and is willing to provide those services to Client under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the services to be provided and the compensation for those services.

Scope of Work

Service Provider shall perform the services and deliverables described herein and in any attached schedules or statements of work. The parties may attach one or more statements of work that incorporate specific tasks, deliverables, milestones and acceptance criteria.

Payment Terms

Client shall pay Service Provider compensation in accordance with the following terms. All amounts are stated in U.S. dollars unless otherwise agreed in writing.

Invoices are due and payable within days of the invoice date. Late payments shall accrue interest at the lesser of (i) a rate of or (ii) the maximum rate permitted by applicable law.

Term and Termination

This Agreement shall commence on Start Date: and shall continue in effect until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within days after receipt of written notice identifying the breach.

Upon termination, Service Provider shall deliver any completed work and Client shall pay for all services performed and accepted through the effective date of termination. Sections concerning confidentiality, payment for accrued obligations, indemnification and limitation of liability shall survive termination.

Confidentiality

"Confidential Information" means business, technical and financial information disclosed by one party to the other, whether written or oral, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that is (i) already known to the receiving party without restriction, (ii) becomes publicly known through no act or omission of the receiving party, (iii) rightfully received from a third party without breach of an obligation of confidentiality, or (iv) independently developed by the receiving party.

The receiving party will (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to any third party except as expressly permitted in this Agreement, and (c) use Confidential Information solely to perform its obligations under this Agreement. The obligations in this Section shall continue for years after termination or expiration of this Agreement, except that trade secrets and attorney-client privileged materials shall be protected for as long as they remain trade secrets or privileged.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. Any dispute arising out of or relating to this Agreement shall be resolved in the courts located within that State, unless the parties mutually agree in writing to alternative dispute resolution.

Entire Agreement

This Agreement, together with any exhibits or statements of work expressly incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

Miscellaneous

Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, sale of substantially all assets, or corporate reorganization, provided the assignee accepts all obligations. The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture or employment relationship.
