BUSINESS SERVICES SIGNED AGREEMENT

Recitals

WHEREAS, Client desires to engage Service Provider to perform certain professional business services as set forth herein, and Service Provider has represented that it has the expertise, personnel and resources to perform such services in a timely and professional manner; and

WHEREAS, the parties wish to set forth the terms and conditions under which Service Provider will provide such services as of the effective date of this Agreement dated .

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Scope of Work

Service Provider shall perform the services described below for Client in a professional and workmanlike manner in accordance with industry standards.

Payment Terms

Client shall pay Service Provider for the services rendered as follows:

Invoices shall be issued by Service Provider in accordance with the payment schedule. Client shall remit payment within days of invoice receipt. Late payments shall accrue interest at a rate of % per month (or the maximum permitted by law), plus reasonable collection costs.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured after ten (10) days' written notice, or immediately for insolvency, bankruptcy or other similar events.

Confidentiality

Each party agrees that all non-public information disclosed by one party to the other in connection with this Agreement that is designated as confidential or that by its nature should reasonably be understood to be confidential ("Confidential Information") shall be held in strict confidence and shall not be used or disclosed except as necessary to perform its obligations under this Agreement. This obligation shall survive termination for a period of three (3) years, except with respect to trade secrets for which the duty of confidentiality shall continue for as long as the information remains a trade secret under applicable law.

Representations, Warranties and Limitation of Liability

Each party represents and warrants that it has the authority to enter into this Agreement. Service Provider warrants that the services will be performed in a professional manner consistent with industry standards. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS AGREEMENT, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, AND TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE SIX (6) MONTH PERIOD PRECEDING THE CLAIM.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its choice of law rules. The parties submit to the exclusive jurisdiction of courts located within that jurisdiction for the resolution of disputes arising under this Agreement.

Entire Agreement

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment or modification of this Agreement must be made in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice. Notices shall be deemed given when delivered personally, sent by confirmed overnight courier, or three (3) days after deposit in the U.S. mail, postage prepaid.
