BUSINESS SERVICES AGREEMENT

This Business Services Agreement (the "Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Service Provider is in the business of providing professional business services, including but not limited to consulting, project management and related deliverables; and

WHEREAS, Client desires to engage Service Provider to perform the services described in this Agreement, and Service Provider agrees to perform such services under the terms and conditions set forth herein; and

WHEREAS, the parties intend that this Agreement set forth the entire understanding between the parties regarding the Services and related compensation.

SCOPE OF WORK

Service Provider shall perform the services and deliverables described below. The parties may attach or incorporate project addenda identifying specific milestones, deliverables and acceptance criteria. Any material change to the Scope shall be made only by written amendment signed by both parties.

PAYMENT TERMS

Client shall pay Service Provider the fees and expenses set forth below in exchange for the Services. All fees are exclusive of taxes unless otherwise required by law.

Any amount not paid when due shall accrue interest at the lesser of the maximum rate permitted by law or % per month, pro rata, plus collection costs.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience by providing the notice period set forth above. Either party may terminate immediately for material breach that is not cured within fifteen (15) days after written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Recipient shall: (a) use Confidential Information only to perform its obligations under this Agreement; (b) protect Confidential Information with at least the same degree of care as its own confidential information but no less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential Information does not include information that: (i) is or becomes publicly known through no breach by Recipient; (ii) is rightfully received from a third party without restriction; (iii) is independently developed without use of Confidential Information; or (iv) is required to be disclosed by law, provided Recipient gives prompt notice when legally permitted and cooperates reasonably to limit disclosure.

INDEPENDENT CONTRACTOR; INSURANCE; INDEMNITY

Service Provider is an independent contractor. Nothing in this Agreement creates an employment, joint venture or agency relationship. Service Provider shall maintain appropriate insurance and shall indemnify, defend and hold harmless Client from claims arising from Service Provider's negligent performance or willful misconduct, except to the extent caused by Client's gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits or written addenda signed by both parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment shall be effective except in a written instrument signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a sale of substantially all assets. Notices shall be in writing and delivered to the addresses set forth above.
