BUSINESS SERVICES AGREEMENT — SIGNNOW

This Business Services Agreement (the "Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Service Provider is engaged in the business of providing professional services including consulting, technical support, and implementation services (the "Services"); and

WHEREAS, Client desires to engage Service Provider to perform the Services described in this Agreement, and Service Provider is willing to perform such Services under the terms and conditions set forth herein.

WHEREAS, the parties intend these recitals and the covenants contained herein to constitute a legally binding agreement governing the relationship between them.

SCOPE OF WORK

Service Provider shall perform the Services described below. The scope described is the entire set of obligations for which Service Provider will be compensated unless the parties execute a written amendment.

PAYMENT TERMS

In consideration for the Services, Client shall pay Service Provider in accordance with the terms set forth below.

Client shall pay reasonable, documented expenses pre-approved in writing by Client. All payments are exclusive of taxes; Client is responsible for any applicable sales, use, or value-added taxes, excluding taxes on Service Provider's net income.

TERM AND TERMINATION

This Agreement commences on and, unless earlier terminated in accordance with this Agreement, will terminate on .

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured thirty (30) days after written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for Services performed prior to the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by either party that is designated confidential or that a reasonable person would understand to be confidential under the circumstances. Each party shall: (a) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party without prior written consent, except to employees, contractors or affiliates who have a need to know and are bound by confidentiality obligations at least as protective as those herein.

Confidentiality obligations do not extend to information that: (i) is or becomes generally known to the public through no breach of this Agreement; (ii) is rightfully received from a third party without restriction; (iii) is independently developed without use of Confidential Information; or (iv) is required to be disclosed by law or valid order of a court or governmental authority, provided that the receiving party gives prompt notice to the disclosing party to permit a protective order or other remedy.

LIMITATION OF LIABILITY & INSURANCE

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party will be liable to the other for consequential, incidental, special, punitive, or exemplary damages, even if advised of the possibility of such damages. Service Provider shall maintain commercial general liability insurance appropriate to the services provided and evidence of such insurance shall be provided to Client upon request.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to principles of conflict of laws.

ENTIRE AGREEMENT

This Agreement, including any exhibits and statements of work executed under it, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets. If any provision of this Agreement is found to be invalid or unenforceable, the remainder will continue in full force and effect.
