BUSINESS SERVICES SIT

This Business Services Agreement ("Agreement") is entered into as of Effective Date: by and between:

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing specialized business services, including planning, implementation, system integration, testing and related professional services (collectively, "Services"); and

WHEREAS, Client desires to retain Service Provider to perform the Services at the site(s) and under the terms described in this Agreement, and Service Provider agrees to perform such Services in accordance with the terms and conditions set forth herein.

SCOPE OF WORK

Service Provider shall perform the Services described below. The scope is intended to define principal deliverables, responsibilities and acceptance criteria. Any material change to scope shall be documented in a written change order signed by both parties.

PAYMENT TERMS

Client shall pay Service Provider the fees and expenses as set forth below. All amounts are payable in lawful currency of the United States unless otherwise agreed in writing.

Invoices are due within days of receipt unless otherwise agreed. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, and Client shall reimburse Service Provider for reasonable collection costs.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue in effect until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may immediately terminate for material breach if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Service Provider for Services performed and approved expenses incurred through the effective date of termination, together with any non-cancelable commitments made by Service Provider.

CONFIDENTIALITY

Each party (Recipient) acknowledges that in the course of performance it may receive Confidential Information of the other party (Discloser). "Confidential Information" means non-public business, technical, financial and other information disclosed in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Recipient shall (a) hold Confidential Information in strict confidence and use it solely to perform under this Agreement, (b) restrict disclosure to employees, agents or contractors who have a need to know and are bound by confidentiality obligations no less protective than those herein, and (c) not disclose Confidential Information to third parties without Discloser's prior written consent, except as required by law. Confidentiality obligations shall survive termination for three (3) years, except with respect to trade secrets, which shall remain protected for so long as such information qualifies as a trade secret.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes.

ENTIRE AGREEMENT

This Agreement, together with any written attachments and signed change orders, constitutes the entire agreement between the parties regarding the Services and supersedes all prior and contemporaneous proposals, negotiations and agreements, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Each party represents and warrants that it has the full power and authority to enter into this Agreement. Neither party shall assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
