Core Sections to Include in the Agreement

The Business Services SL AA organizes contractual terms into distinct sections to make review, negotiation, and compliance straightforward for legal, operations, and finance stakeholders.

Parties & Scope

Identify the provider and client, define services and exclusions, specify locations and contact points, and state effective and termination dates to establish who owes what and when under the agreement.

Service Levels

Define measurable performance targets such as uptime, response and resolution times, service credits, monitoring methods, and reporting frequency so expectations and remedies for missed targets are traceable and enforceable.

List deliverables, milestones, invoicing schedule, payment terms, accepted expenses, and late payment remedies; tie fees to specific deliverables or subscription periods to reduce billing disputes.

Change Management

  • Failing to tie payment to milestones or deliverables increases billing disputes and cashflow risk; define invoices, due dates, and late fees clearly.
  • Not specifying SLA measurement methods or reporting cadence makes enforcement subjective; include monitoring tools, reporting frequency, and acceptance criteria.
  • Allowing unauthorized signatories or omitting authority statements can render agreements voidable; require name, title, and proof of authority for each signer.

Potential Consequences of Errors

Payment Disputes: Delayed or withheld payments.
Operational Downtime: Missed SLA remedies.
Regulatory Noncompliance: Fines or corrective actions.
Contract Invalidity: Signature or authority challenges.
Reputational Damage: Client trust erosion.
Increased Legal Costs: Litigation or arbitration expenses.
