This Business Services Agreement (the Agreement) is entered into as of Effective Date: by and between Service Provider: SLABHAUS and Client Name: .

WHEREAS

WHEREAS, SLABHAUS provides specialized business services, including design, project management, and consulting for construction-related commercial projects; and

WHEREAS, Client desires to engage SLABHAUS to perform certain services as described in this Agreement and SLABHAUS agrees to provide such services under the terms set forth herein.

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the services to be provided.

SLABHAUS will provide the services described below (Services). The Services constitute professional business services and may include project planning, design consultation, site coordination, procurement assistance, and progress oversight as specifically agreed in writing.

3. Payment Terms

Client shall pay Provider the fees set forth below in consideration of the Services. Fees are exclusive of applicable taxes unless otherwise stated.

4. Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

5. Confidentiality

During the term of this Agreement and for a period of three (3) years thereafter, each party shall hold in strict confidence and not disclose to any third party any Confidential Information of the other party. Confidential Information includes business plans, pricing, technical data, designs, customer lists, and other information marked or reasonably understood to be confidential, but excludes information that is publicly available, rightfully known prior to disclosure, independently developed without use of the other party’s Confidential Information, or rightfully obtained from a third party without restriction.

Each party shall use Confidential Information solely for the performance of this Agreement and shall take reasonable measures to prevent unauthorized disclosure. Upon termination or request, receiving party shall return or destroy Confidential Information and certify such return or destruction in writing.

6. Intellectual Property and Work Product

Unless otherwise agreed in writing, SLABHAUS retains ownership of pre-existing intellectual property and methodologies. Upon full payment, SLABHAUS assigns to Client all right, title and interest in deliverables specifically prepared for Client as a work made for hire. Provider reserves the right to use general skills, knowledge, and non-confidential lessons learned in future engagements.

7. Indemnification and Limitation of Liability

Client shall indemnify and hold harmless SLABHAUS from claims arising from Client-provided information, site conditions, or Client’s failure to perform obligations. SLABHAUS’s aggregate liability for claims relating to this Agreement shall not exceed the total payments received under this Agreement in the twelve (12) months preceding the claim. Neither party shall be liable for consequential or punitive damages except for indemnification obligations or willful misconduct.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties agree that any legal action shall be brought in the state or federal courts located in that state.

9. Entire Agreement

This Agreement, together with any exhibits or written statements of work executed by the parties, constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral. Any modification must be in a written instrument signed by authorized representatives of both parties.

10. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remainder shall continue in full force. The parties are independent contractors; nothing creates an employment, partnership, or joint venture relationship. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest to all or substantially all of the assigning party’s business.
