What the Business Services SLW ICA Is and When It's Used

The Business Services SLW ICA is an intercompany agreement template that documents service-level arrangements, cost allocation, and responsibilities between affiliated business units. It establishes scope of services, performance metrics, invoicing and payment terms, confidentiality, and dispute resolution. Organizations use this ICA to formalize recurring internal services such as shared IT, HR, finance, or facilities support and to ensure consistent treatment for accounting, tax, and regulatory reviews. The template helps align operational expectations while creating an auditable record for internal controls and compliance purposes.

Why a Clear SLW ICA Matters to Legal and Finance Teams

A properly drafted SLW ICA reduces ambiguity about service scope, minimizes intercompany disputes, and supports consistent allocation of costs for accounting and tax reporting. It also provides evidence of arm's-length terms where required by auditors or regulators and clarifies escalation and performance remedies.

Why a Clear SLW ICA Matters to Legal and Finance Teams

Which Roles Commonly Prepare and Sign This ICA

Typical preparers and approvers combine legal, finance, and operations stakeholders to ensure commercial, tax, and control considerations are addressed.

  • Corporate Legal — Drafts governing terms and approval language to limit liability and set governing law.
  • Finance / Accounting — Validates cost allocation methods, billing cadence, and tax implications.
  • Business Unit Managers — Define service scope, KPIs, and acceptance criteria.

Coordination among these roles shortens review cycles and reduces rework during internal audits or external compliance checks.

Primary Decision-Makers and Signatories

CFO

The CFO or delegated finance lead reviews allocation methodology, validates budgetary impact, and signs when the agreement affects financial reporting or tax obligations. Their approval confirms accounting treatment and internal control alignment across legal entities.

General Counsel

The General Counsel or delegated legal reviewer ensures liability limits, indemnities, confidentiality, and dispute resolution language are acceptable. Counsel confirms the governing law clause and any requirements for notarization or witness signatures.
