What the Business Services SM2370 Is and when it applies

The Business Services SM2370 is a standardized business services form used to document the scope, parties, fees, and execution details of a service engagement. Typical uses include vendor onboarding, statement-of-work summaries, and short-form service agreements where parties require a concise written record of deliverables, payment terms, and effective dates. The form captures identification for each party, the defined services or deliverables, compensation terms, key dates, and signature blocks for authorized signers. It is intended to create a clear, auditable record for internal teams, accounting, and compliance purposes.

Why using a complete SM2370 matters for compliance and operations

A properly completed SM2370 reduces contractual ambiguity, supports accurate accounting and tax reporting, and documents obligations that affect performance and liability. For electronic execution, ESIGN (15 U.S.C. ch. 96) and state UETA laws recognize valid electronic signatures when intent, consent, attribution, and record retention are present.

Why using a complete SM2370 matters for compliance and operations

Who typically prepares and signs an SM2370

Internal stakeholders and external vendors most commonly use this form to record service terms and acceptance.

  • Procurement teams — Prepare, review, and route agreements for approval across finance and legal before execution.
  • Accounting / AP — Use the form to confirm billing milestones, payment schedules, and invoicing contacts for 1099 or vendor records.
  • Service vendors — Provide a clear scope, deliverable schedule, and acceptance criteria to reduce post-delivery disputes.

The SM2370 serves as both operational instructions for delivery and a record that supports tax, audit, and vendor management processes.

Term and Termination

Execution

Signature blocks with printed name, title, capacity, and date. Note whether electronic execution is permitted.
