RECITALS

WHEREAS, Service Provider is engaged in the business of providing business strategy, operational support, and related professional services to commercial clients; and

WHEREAS, Client desires to engage Service Provider to perform the services described in this Agreement, and Service Provider agrees to provide such services under the terms and conditions set forth herein; and

WHEREAS, the Parties wish to set forth their mutual understandings and responsibilities with respect to the services to be provided.

SCOPE OF WORK

Service Provider shall perform the services and deliverables described below. Deliverables, acceptance criteria, and milestones will be as specified in the Scope of Work and any attached exhibits.

PAYMENT TERMS

Client shall pay Service Provider compensation as set forth below in consideration for the services provided. Compensation is exclusive of taxes unless otherwise stated.

Invoices are due within days of receipt. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus reimbursement of collection costs and attorneys' fees where permitted.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until unless earlier terminated as provided below.

Either Party may terminate this Agreement for material breach by the other Party that is not cured within the notice period above following written notice. Either Party may terminate for convenience upon the notice period. Termination shall not relieve Client of its obligation to pay for services performed and costs incurred through the effective date of termination.

CONFIDENTIALITY

Each Party (the "Receiving Party") shall hold in confidence and not disclose Confidential Information of the other Party (the "Disclosing Party") and shall use such Confidential Information only for the performance of this Agreement. "Confidential Information" includes nonpublic business, technical, financial and strategic information disclosed in any form. Confidential Information does not include information that: (a) was publicly known at the time of disclosure; (b) becomes publicly known through no fault of the Receiving Party; (c) is rightfully received from a third party without breach; or (d) is independently developed without use of the Disclosing Party's Confidential Information.

The obligations of confidentiality shall survive termination of this Agreement for unless a longer period is required by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of . Any action arising out of or relating to this Agreement shall be brought in the courts of that State and the federal courts located therein, and the Parties hereby submit to the exclusive jurisdiction of those courts.

ENTIRE AGREEMENT

This Agreement, together with any attached exhibits and statements of work, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by both Parties.

MISCELLANEOUS

If any provision of this Agreement is held unenforceable, the remainder shall remain in full force and effect. Neither Party may assign its rights or obligations under this Agreement without the prior written consent of the other Party, except that Service Provider may assign this Agreement in connection with a merger or sale of substantially all of its assets.
