BUSINESS SERVICES SNL

This Business Services Agreement (the Agreement) is made as of Effective Date: between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client desires to engage Service Provider to perform certain business services as set forth herein; and

WHEREAS, Service Provider represents that it has the expertise, personnel, and resources necessary to provide such services in a professional and workmanlike manner; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide services to Client.

SCOPE OF WORK

PAYMENT TERMS

Compensation: Client shall pay Service Provider a total fee of USD for the services described in the Scope of Work. Unless otherwise agreed in writing, the fee covers only the services set forth in this Agreement.

Invoices shall be submitted to Client and are payable within days of receipt. Late payments shall incur a late fee equal to per month on the outstanding balance, or the maximum allowed by law, whichever is less.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Termination: Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach if the breaching party fails to cure such breach within days after receipt of written notice describing the breach.

Effect of Termination: Upon termination, Client shall pay Service Provider for all services performed and reimbursable expenses incurred through the date of termination. Service Provider shall deliver to Client any work in progress reasonably requested by Client.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by a party (the Disclosing Party) to the other (the Receiving Party) in any form that is designated confidential or that reasonably should be understood to be confidential given the nature of the information.

Obligations: The Receiving Party shall (i) use Confidential Information solely to perform its obligations under this Agreement, (ii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, and (iii) not disclose Confidential Information to any third party except to employees, contractors, and advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Exceptions & Duration: Confidential Information does not include information that is publicly available through no breach by the Receiving Party, independently developed, or rightfully obtained from a third party without restriction. The confidentiality obligations shall survive termination for a period of years, except for trade secrets which shall remain protected for so long as such information qualifies as a trade secret under applicable law.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct.

Limitation of Liability: Except for liability arising from gross negligence, willful misconduct, or a party's breach of its confidentiality or indemnification obligations, neither party's aggregate liability for any claim arising out of this Agreement shall exceed the total amount actually paid by Client to Service Provider under this Agreement in the twelve (12) months preceding the claim.

NOTICES

GOVERNING LAW; ENTIRE AGREEMENT

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles.

Entire Agreement: This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether oral or written.

MISCELLANEOUS

Assignment & Subcontracting: Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its business assets. Service Provider may engage subcontractors provided Service Provider remains responsible for their performance.

Amendments: Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.
