This Business Services Statement of Work and Agreement (the "Agreement") is entered into as of by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client requires certain business services, including consulting, project management, and deliverable production, as further described in the Scope of Work below; and

WHEREAS, Service Provider represents that it has the necessary expertise, personnel, and resources to perform the required services in a professional and workmanlike manner; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will perform services for Client.

Scope of Work

Payment Terms

Client shall pay Service Provider the fees set forth below in consideration for the services and deliverables. Fees exclude any applicable taxes unless otherwise indicated.

Service Provider will submit invoices in accordance with the Payment Schedule. Client will pay invoiced amounts within days of receipt of a proper invoice. Late payments shall accrue interest.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period set forth above following written notice. Termination shall not relieve Client of the obligation to pay for services performed and expenses reasonably incurred prior to termination.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is marked confidential or that reasonably should be understood to be confidential given the nature of the information. Each party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) limit disclosure of Confidential Information to employees, contractors or agents with a need to know who are bound by confidentiality obligations no less protective than those herein.

The obligations in this section do not apply to information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was in the receiving party's lawful possession prior to disclosure; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without use of the disclosing party's Confidential Information. Remedies for breach include injunctive relief in addition to any other available remedies.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction indicated below, without regard to its conflict of law principles.

Miscellaneous Provisions

Entire Agreement: This Agreement, including any attachments and statements of work incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous understandings. No amendment is binding unless in writing and signed by both parties.

Independent Contractor: Service Provider is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship.

Limitation of Liability: Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party's aggregate liability arising out of or related to this Agreement shall exceed the total amounts paid by Client to Service Provider under this Agreement during the twelve (12) month period preceding the claim.

Notices

Notices shall be in writing and delivered to the contact addresses above or to such other address as a party may specify in writing. Notice is effective upon delivery if delivered personally, by nationally recognized courier, or by confirmed electronic transmission with receipt.
