BUSINESS SERVICES SOLID

This Business Services Agreement (the Agreement) is made between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client requires professional business services consisting of advisory, implementation, and operational tasks as further described in the Scope of Work; and

WHEREAS, Service Provider represents that it has the expertise, personnel, and resources necessary to provide such services and agrees to perform the services subject to the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

3. PAYMENT TERMS

Client shall pay Provider the fees set forth below in exchange for the services rendered. All payments are due in U.S. dollars unless otherwise agreed in writing.

Late payments will incur interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law, and Client shall reimburse Provider for any reasonable collection costs and attorneys' fees incurred in collecting overdue amounts.

4. TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless terminated earlier in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the effective termination date. Either party may terminate immediately for material breach if the breach remains uncured for thirty (30) days after written notice specifying the breach.

5. CONFIDENTIALITY

"Confidential Information" means all nonpublic information disclosed by a disclosing party to a receiving party, whether oral, written, or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

The receiving party shall: (a) hold Confidential Information in strict confidence and not disclose it to any third party except as expressly permitted herein; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure.

Confidential Information does not include information that: (i) is or becomes publicly known through no breach by the receiving party; (ii) is rightfully received from a third party without restriction; (iii) is independently developed without use of the other party's Confidential Information; or (iv) is required to be disclosed by law, provided the receiving party gives prompt written notice and cooperates in any lawful effort to obtain confidential treatment.

6. INDEPENDENT CONTRACTOR; NO EMPLOYMENT RELATIONSHIP

Provider is an independent contractor and not an employee, agent, or legal representative of Client for any purpose. Provider retains the right to control the manner and means by which services are performed and is responsible for all taxes and benefits related to its personnel.

7. REPRESENTATIONS, WARRANTIES AND LIMITATION OF LIABILITY

Each party represents that it has full power and authority to enter into this Agreement. Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT FOR THE EXPRESS WARRANTIES STATED IN THIS SECTION, THE SERVICES ARE PROVIDED "AS IS" AND NEITHER PARTY MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED.

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR BREACH OF CONFIDENTIALITY, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. THE AGGREGATE LIABILITY OF PROVIDER FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO PROVIDER DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

9. ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

10. MISCELLANEOUS

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or successor in connection with a merger or sale of substantially all of its assets.
