BUSINESS SERVICES SPK

Recitals

WHEREAS, Service Provider provides professional business services, including consulting, project management, and related services to commercial clients; and

WHEREAS, Client desires to engage Service Provider to perform the services described in this Agreement and Service Provider agrees to provide such services under the terms set forth herein.

Scope of Work

Service Provider shall perform the services and deliverables described below. Service Provider will use commercially reasonable efforts and qualified personnel to perform in a professional manner consistent with industry standards.

Payment Terms

Compensation: Client shall pay Service Provider the fees set forth below for the performance of the Scope of Work. Unless otherwise agreed in writing, fees are exclusive of taxes and out-of-pocket expenses.

Late Payment: Unpaid amounts shall accrue interest at the rate of % per month (or the highest rate permitted by law, if lower). In addition, Client shall be responsible for reasonable collection costs, including attorney fees, if payment is not received within the agreed payment period.

Term and Termination

Term: The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement without cause upon providing written notice to the other party not less than days prior to the effective date of termination. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination.

Termination for Cause: Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the nature of the breach.

Confidentiality

Each party agrees that Confidential Information disclosed by the other party shall be held in strict confidence and shall not be disclosed to any third party without prior written consent, except to the extent necessary to perform obligations under this Agreement. Confidential Information does not include information that (i) is rightfully known to the receiving party prior to disclosure, (ii) becomes publicly available through no fault of the receiving party, (iii) is rightfully obtained from a third party without breach of any obligation to the disclosing party, or (iv) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Upon termination or expiration of this Agreement, each party shall promptly return or destroy the other party's Confidential Information and certify such return or destruction in writing upon request.

Intellectual Property and Deliverables

Ownership: Unless otherwise agreed in a written statement of work, Service Provider retains ownership of general tools, methodologies, templates and know-how developed prior to or independent of this Agreement. Client shall receive a perpetual, non-exclusive license to use deliverables specifically created for Client under this Agreement upon full payment of all amounts due.

Representations, Indemnification and Limitation of Liability

Each party represents that it has the full right, power and authority to enter into and perform its obligations under this Agreement. Client shall indemnify and hold harmless Service Provider from claims arising out of Client-supplied materials or Client's misuse of deliverables. Except for willful misconduct or gross negligence, neither party shall be liable for consequential, incidental or special damages. The parties' aggregate liability for any claim arising under this Agreement shall not exceed the total amounts paid or payable by Client to Service Provider under this Agreement in the six (6) months preceding the claim.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party designates by written notice. Notices shall be effective upon personal delivery, confirmed email delivery, or three (3) days after deposit with a nationally recognized overnight courier.

Governing Law; Entire Agreement

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles.

Entire Agreement: This Agreement, including any exhibits or statements of work expressly incorporated herein, constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

Execution

The parties agree that electronic signatures, scanned copies of signatures, or facsimile signatures shall be deemed original signatures and shall have the same force and effect as original signatures.
