Common errors to avoid when preparing the agreement

  • Using vague scope descriptions that lack acceptance criteria often leads to disputes over deliverable completion and additional billing.
  • Failing to confirm the signer's authority for an entity risks unenforceable signatures or later ratification disputes.
  • Omitting clear payment and invoicing instructions causes reconciliation delays and increases late payment risk.
  • Neglecting to reconcile confidentiality and IP clauses with existing agreements can create conflicting obligations and enforcement issues.

Consequences of an incorrect or incomplete agreement

Enforceability risk: Ambiguous terms may be unenforceable
Financial exposure: Uncapped liability increases loss
Payment disputes: Missing billing details delay collection
IP disputes: Unclear ownership leads to litigation
Regulatory noncompliance: Industry rules may be violated
Recordkeeping failures: Retention lapses impair audits
