This Business Services Agreement ("Agreement") is entered into as of , by and between Service Provider: with principal place of business at , and Client Name: with principal place of business at .

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing business consulting, strategy, operations, and related services and possesses the experience and personnel necessary to perform such services;

WHEREAS, Client desires to engage Service Provider to provide certain business services described in this Agreement, and Service Provider agrees to provide such services under the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows.

Scope of Work

Payment Terms

Unless otherwise agreed in writing, Client shall make payments within days of invoicing. Overdue balances shall accrue the Late Payment Fee specified above and may be suspended from further services until paid in full.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach that remains uncured thirty (30) days after written notice specifying the breach.

Confidentiality

"Confidential Information" means all non-public information disclosed by one party to the other, whether oral, written, or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall (i) hold Confidential Information in strict confidence, (ii) use Confidential Information only to perform its obligations under this Agreement, and (iii) not disclose Confidential Information to any third party except to those employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations no less protective than those contained herein.

Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) is rightfully received from a third party without restriction; (c) was already known to the receiving party without restriction at the time of disclosure; or (d) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information. The obligations in this section shall survive termination of this Agreement for a period of two (2) years.

Representations, Warranties and Relationship

Each party represents and warrants that it has the full power and authority to enter into this Agreement. Service Provider warrants that it will perform services in a professional and workmanlike manner. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

The parties are independent contractors. Nothing in this Agreement creates an agency, partnership, joint venture or employment relationship between the parties.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against any third‑party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. EXCEPT FOR A PARTY'S BREACH OF CONFIDENTIALITY OR INDEMNIFICATION OBLIGATIONS, IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE TO SERVICE PROVIDER UNDER THIS AGREEMENT.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of , without regard to its conflicts of law rules. Any action arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located within that jurisdiction.

Entire Agreement; Amendments

This Agreement, together with any attachments or statements of work expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. This Agreement may be amended only by a written instrument signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger, acquisition or sale of substantially all of its assets.
