What the Business Services SRA Agreement Is

The Business Services SRA Agreement is a contractual template used to define scope, deliverables, pricing, timelines, and responsibilities between a service provider and a commercial client. It clarifies service levels, acceptance criteria, change-order processes, and payment terms so both parties have a shared baseline for performance and dispute resolution. The agreement can be adapted for project-based work, ongoing managed services, or term-based retainers and often includes confidentiality, limitation of liability, and termination provisions to manage commercial risk.

Why a Clear SRA Agreement Matters for Your Business

A well-drafted Business Services SRA Agreement reduces disputes, sets measurable expectations, and protects both parties’ legal and financial interests.

Why a Clear SRA Agreement Matters for Your Business

Who Typically Completes a Business Services SRA Agreement

Final signature authority usually rests with executives or delegated signatories defined in corporate approval policies; follow internal delegation limits when executing.

  • Procurement teams who manage vendor selection and contract terms for third-party services.
  • Project managers who define scope, milestones, and acceptance criteria for delivery.
  • General counsel or outside counsel who review risk allocation and compliance clauses.

Gather Inputs: Collect SOW, pricing worksheets, and stakeholder approvals before drafting.

How to Configure an Online Signing Workflow

Set up an electronic workflow with field mapping, signer order, and authentication to match your approval and audit requirements.

Where to Send and How the Agreement Is Routed

Understand routing destinations and handoffs so approvals and records reach the correct internal teams and external parties.

  • Primary Recipient: Client contact who reviews scope and signs first.
  • Vendor Signer: Authorized representative who accepts terms and signs.
  • Internal Approvals: Legal and finance confirm terms prior to signature.
  • Distribution: Final copies sent to all parties and stored in records.

Key Dates, Notice Periods, and Processing Expectations

Identify and calendar critical dates such as effective date, milestone deadlines, renewal notices, and cure periods to avoid missed obligations.

Date when terms become binding; use MM/DD/YYYY.

Milestone Deadlines:

Specific delivery dates tied to acceptance criteria.

Payment Due:

Net terms (e.g., Net 30) and invoice submission rules.

Renewal Notice:

Typical notice windows: 30–90 days prior to renewal.

Cure Period:

Common Mistakes When Preparing the SRA Agreement

  • Vague scope language that leads to scope creep and disputed fees when deliverables are not clearly defined.
  • Missing acceptance tests or criteria that cause disagreements about whether deliverables meet contract standards.
  • Incorrect signatory authority where the person who signs lacks corporate approval, creating enforceability risks.
  • Failing to specify data protection obligations and whether a BAA is required for PHI, exposing parties to regulatory liabilities.

Penalties and Business Risks of an Incorrect Agreement

Contract Damages: Monetary liability for breach or poor performance.
Regulatory Fines: HIPAA or other privacy fines for inadequate protections.
Invoice Disputes: Delayed payments and collections costs.
Reputational Harm: Client relationship damage from missed SLAs.
Enforceability Risk: Unsigned or improperly executed agreements may be invalid.
Operational Disruption: Service interruptions due to unclear roles or termination language.

How Organizations Use an SRA Agreement in Practice

Optica Ventures — COO

A venture services firm standardized its SRA to capture deliverables and billing terms up front

  • This reduced review cycles across portfolio companies by several days per contract
  • As a result the firm reports faster onboarding and fewer billing disputes, improving vendor relationships and internal throughput.

Martin Properties — Founder

A property management business used a template SRA to consolidate service provider terms across multiple properties

  • The template included clear SLA and termination language
  • Adoption made it possible to manage renewals centrally and reduced administrative handoffs between property managers and finance.

Who May Sign the Agreement

Authorized Executive

A CEO, CFO, or other officer with delegated corporate authority signs where the agreement exceeds delegated approval limits; ensure the signer's authority is documented in corporate records to avoid challenges.

Procurement Delegate

Procurement or operations managers may sign on behalf of the company if internal delegation authorizes them for the contract value and scope; attach evidence of delegation when required by internal policy.

Supporting Documents and Export Options

Attach or export supporting exhibits and choose formats to preserve signatures, audit trails, and version history.

Exhibits

Include SOWs, pricing schedules, and technical attachments as numbered exhibits referenced in the main agreement.

Change Orders

Use a standard change-order form to capture scope and price updates without re‑negotiating the full agreement.

Export Formats

Save executed agreements as PDF/A for archival; retain native Word files for future edits with version control.

Audit Package

Preserve the signed PDF plus the audit trail (timestamps, IP, signer authentication) as a single compliance package.
