Common preparation errors to avoid

  • Incomplete party names or mismatched legal names that cause payment and tax reporting delays or trigger backup withholding.
  • Vague service descriptions that lead to disputes about deliverables, acceptance, and invoicing eligibility.
  • Missing signature authority where the signer lacks corporate delegation, causing contracts to be rejected or unenforceable.
  • Failing to include required state or industry disclosures, such as HIPAA addenda for healthcare or licensing statements for regulated professions.

Consequences of incorrect or late filings

Tax penalties: Late or incorrect information returns can trigger IRC §6721 penalties.
Backup withholding: Incorrect TINs may trigger 24% backup withholding.
Contract disputes: Ambiguous terms increase litigation risk and costs.
Noncompliance fines: HIPAA or employment violations may incur regulatory fines.
