BUSINESS SERVICES STAPLES

This Business Services Agreement (the "Agreement") is entered into as of by and between:

WHEREAS (RECITALS)

WHEREAS, Client desires to obtain business support services, supplies, and managed services from Service Provider in connection with Client's operations; and

WHEREAS, Service Provider represents that it has the qualifications, experience, and resources to provide such services on the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the provision of services described herein.

SCOPE OF WORK

Service Provider shall provide the services, deliverables, and materials described below. The scope may include procurement and delivery of office goods, managed procurement services, installation, reporting, and such ancillary services as agreed in writing.

PAYMENT TERMS

In consideration of the services and deliverables, Client shall pay Service Provider the amounts and according to the schedule set forth below.

Invoices are due and payable within days of receipt unless otherwise agreed in writing. Late payments shall bear interest at the lesser of (i) a rate of per month or (ii) the maximum rate permitted by applicable law. Client shall also reimburse reasonable collection and legal costs incurred to recover overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach that remains uncured for thirty (30) days after written notice, or immediately for insolvency, bankruptcy, or cessation of business operations.

CONFIDENTIALITY

For the purposes of this Agreement, "Confidential Information" means non-public business, technical, financial or other proprietary information disclosed by one party to the other, whether disclosed orally, visually or in writing. Each receiving party shall (i) hold Confidential Information in strict confidence, (ii) not use it except to perform its obligations under this Agreement, and (iii) not disclose it to any third party except to employees, contractors or affiliates who have a need to know and are bound by confidentiality obligations at least as protective as those herein.

Confidentiality obligations shall survive termination of this Agreement for a period of years, except with respect to trade secrets where protection shall continue as permitted by law. Confidential Information does not include information that is (a) publicly available through no fault of the receiving party, (b) rightfully received from a third party without restriction, or (c) independently developed without use of the disclosing party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of laws principles. Exclusive venue for any dispute arising out of or in connection with this Agreement shall be the state or federal courts located in such state, unless the parties agree otherwise in writing.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement (including any exhibits and written statements of work incorporated by reference) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its assets. The parties agree to comply with all applicable laws and regulations in the performance of their obligations hereunder. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

INDEMNIFICATION; LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or breach of its material obligations under this Agreement. Except for liability arising from a party's gross negligence, willful misconduct, or infringement claims, neither party's aggregate liability shall exceed the fees paid or payable by Client to Service Provider under this Agreement in the twelve (12) months preceding the claim.
