Business Services STNGR

This Business Services Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: with principal address and Service Provider: with principal address .

Recitals

WHEREAS, Client requires business services relating to strategy, operations, marketing and related advisory work as more particularly described in the Scope of Work; and

WHEREAS, Service Provider represents that it has the qualifications, experience and capacity to perform the services described herein and is willing to provide such services to Client under the terms and conditions set forth in this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above after receipt of written notice. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred prior to the effective date of termination.

Confidentiality

Definition: "Confidential Information" means non-public business, financial, technical or other information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: Each recipient shall (a) hold Confidential Information in strict confidence and not disclose it to any third party except as permitted in this Agreement; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) take reasonable measures to protect confidentiality no less than those it uses to protect its own confidential materials.

Exceptions: Confidential Information does not include information that (i) is or becomes generally available to the public other than by a breach of this Agreement; (ii) was known to recipient prior to disclosure; (iii) is received from a third party without restriction; or (iv) is independently developed without use of the other party’s Confidential Information.

Intellectual Property and Work Product

Unless otherwise agreed in writing, Service Provider retains ownership of pre-existing intellectual property and methodologies. Upon full payment, Service Provider grants Client a perpetual, non-exclusive, non-transferable license to use final deliverables for Client’s internal business purposes. Source code, templates and other underlying tools remain Service Provider property unless expressly assigned in writing.

Indemnification and Limitation of Liability

Each party shall indemnify the other against losses arising from its gross negligence, willful misconduct, or material breach of this Agreement. Except for liability for gross negligence, willful misconduct, or breach of confidentiality, neither party will be liable to the other for consequential, special or punitive damages. The aggregate liability of Service Provider for any claim arising out of or related to this Agreement shall not exceed the total fees paid by Client under this Agreement in the six months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties agree that disputes shall be resolved by the state or federal courts located in that jurisdiction.

Entire Agreement

This Agreement (including all schedules and attachments) constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its business assets.

Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by notice to the other party.
