What the Business Services STONEX document is

The Business Services STONEX is a standardized service agreement used to document the scope, terms, and responsibilities for business-to-business services provided by STONEX or its contractors. It defines deliverables, pricing, payment milestones, term and termination provisions, confidentiality and data-handling expectations, and the authority of each party to execute and amend the arrangement. The document is intended for commercial engagements and can be executed in paper or electronically where law permits, subject to ESIGN and applicable state electronic signature statutes.

Why a clear STONEX services agreement matters

A well-completed Business Services STONEX sets expectations for scope, reduces disputes over deliverables and payment, and creates a record useful for compliance, billing, and audits. It also clarifies who may sign on behalf of each entity and what supporting documents must be attached.

Why a clear STONEX services agreement matters

Who commonly prepares or signs the Business Services STONEX

Typical preparers and signers vary by company size and role; below are common participants.

  • Procurement or Sourcing Managers — prepare scopes, review pricing, and approve supplier terms before execution.
  • Finance / Accounts Payable — verify payment terms, tax forms, and invoicing schedules for accounting accuracy.
  • Legal or Contracts Teams — review liability, IP assignment, confidentiality, and termination provisions prior to signature.

Use this list to confirm the appropriate internal approver before routing for signature.

Who can sign and why their role matters

Operations Lead

An Operations Lead often signs for routine service agreements under a delegated authority. Confirm a recorded delegation or board resolution to ensure the signer has corporate authority to bind the organization and avoid later challenges to enforceability.

General Counsel

A company lawyer or corporate officer commonly signs higher-value or high-risk agreements. Their signature confirms legal review, acceptance of indemnity and limitation provisions, and alignment with company risk policies.

Core sections to include in a professional STONEX agreement

A complete Business Services STONEX should contain discrete, clearly labeled sections so reviewers can quickly locate obligations, pricing, and termination rights.

Scope of Work

Precise description of services, deliverables, milestones, and acceptance criteria to avoid scope disputes and to drive invoicing.

Payment and Fees

Confidentiality

Definition of confidential information, permitted disclosures, and duration of confidentiality obligations post-termination.

Data Handling

Data categories, permitted use, security controls, breach notification procedures, and responsibilities for protected health or financial data.

Signatures and Authority

Signature blocks for each party, name and title fields, and any witness or notarization section required by applicable law.

Effective Date: MM/DD/YYYY format for legal clarity.

  • 03
Legal review: Have counsel review indemnities, warranties, and data clauses.
  • 04

Where to send or file the executed STONEX agreement

Routing and final storage vary by organization; follow these common destinations to ensure operational and legal access.

  • Contract Repository: Upload the fully executed PDF to your contract management system for lifecycle tracking.
  • Legal Records: Provide counsel with the executed agreement for corporate minute records and audits.
  • Project Team: Share the schedule and acceptance criteria with operational staff responsible for delivery.

Configuring an online completion workflow

When using an electronic platform, configure authentication, field behavior, and routing to match internal controls and legal needs.

Field Configuration
Signer Authentication Email link or SMS code for standard; KBA where higher assurance required
Conditional Fields Show or hide fee fields based on service options
Template Locks Restrict edits to scope and signature blocks

Digital signing and technical prerequisites

Ensure the selected platform supports audit trails, tamper-evident signed PDFs, and retention export to comply with legal and operational recordkeeping.

  • Authentication Options: Email, SMS, KBA, or advanced signer authentication depending on risk.
  • Document Formats: PDF and DOCX are standard; preserve original formatting for recordkeeping.
  • Integrations: Connectors to systems like Salesforce, NetSuite, Microsoft 365, Google Workspace streamline routing.

Potential consequences of incorrect or incomplete execution

Contract Invalidity: Missing signature or authority can render agreement unenforceable.
Tax Penalties: Incorrect reporting can trigger IRC §6721 penalties for information returns.
Breach Damages: Nonperformance may lead to compensatory damages and lost-profit claims.
Regulatory Fines: Failure to protect PHI may expose HIPAA penalties.
Notary Errors: Improper notarization can delay recording or enforcement.
I-9 Violations: Employment verification mistakes can trigger fines under 8 CFR §274a.2.

Common preparation mistakes to avoid

  • Using informal or trade names instead of the legal entity name, which can cause payment or enforcement problems.
  • Leaving effective dates blank or entering ambiguous date ranges that affect commencement and termination rights.
  • Failing to confirm the signer’s authority or the need for corporate approval holds, which can invalidate signatures.
  • Neglecting to attach required exhibits, schedules, or insurance certificates referenced in the agreement.
