Common mistakes to avoid when preparing this agreement

  • Using vague deliverables or open-ended timelines leads to disputes about whether work has been completed as expected.
  • Failing to match the legal entity name with tax records can trigger backup withholding or invoicing rejections.
  • Not specifying payment milestones or invoicing procedures causes late payment disputes and complicates collections.
  • Skipping authority verification — having an unauthorized signer execute the contract can render it unenforceable.

Potential legal and financial risks from incorrect execution

Contract Invalidity: Missing signatures or incorrect signatory capacity may jeopardize enforceability
Tax Consequences: Incorrect TINs can trigger backup withholding at 24%
Late Payment Costs: Unspecified late fee mechanics invite state interest rules
Privacy Breach: Improper handling of PHI may violate HIPAA with civil penalties
I-9 Risk: Misclassification or incomplete I-9s can lead to fines (8 CFR §274a.2)
Litigation Exposure: Ambiguous IP or indemnity clauses increase litigation likelihood
