What a Business Services Subcontract Is and when it’s used

A Business Services Subcontract is a written agreement where a prime contractor delegates specific services, deliverables, or portions of a contract to a subcontractor while preserving overall responsibility to the client. It defines scope, rates, timelines, invoicing, confidentiality, insurance and dispute resolution. Subcontracts are commonly used when specialists or third-party vendors perform discrete work under a broader contract between an owner and prime contractor. Properly drafted subcontracts allocate risk, clarify payment mechanics, and ensure compliance with governing procurement or prime-contract terms.

Why a clear subcontract matters for project control

A precise Business Services Subcontract reduces disputes by allocating responsibilities, preserving prime-contractor compliance, and documenting required approvals and performance metrics under the main contract.

Why a clear subcontract matters for project control

Who typically prepares and signs a Business Services Subcontract

The document is usually prepared by the prime contractor or contracting attorney and reviewed by contract managers and the subcontractor before signature.

  • Prime contractor contract manager: Oversees subcontract alignment with prime contract terms and approves deliverables and payment schedules.
  • Subcontractor project lead: Confirms scope, staffing, timelines, and that payment and indemnity clauses are acceptable before signing.
  • Legal and procurement teams: Review indemnity, IP, confidentiality, flow-down clauses, and any prime-contract-specific requirements.

Before execution, procurement, legal, finance, and project leads should confirm scope alignment, insurance, invoicing terms, and compliance obligations.

Typical signatories for a Business Services Subcontract

Authorized Signer

Usually a C-suite officer, director, or person with signing authority for the subcontractor (e.g., CFO, VP Operations). This signer should be authorized in the company’s corporate resolution or delegated signing policy to bind the subcontractor legally.

Contract Manager

A prime-contractor contract manager or procurement director executes on behalf of the prime. They confirm flow-down clauses, insurance coverage, and that the subcontract’s milestones match invoicing and payment schedules.

Flow-Down Clauses

Incorporate prime-contract obligations that must be passed to the subcontractor, including confidentiality, security, audit rights, and regulatory compliance requirements.

Liability and Insurance

Allocate indemnities, limits of liability, and insurance requirements (types and minimum limits) that align with the prime contract and project risk profile.
