RECITALS

WHEREAS, Client desires to engage Service Provider to provide certain business services described in this Agreement, and Service Provider has represented that it has the professional capability and capacity to perform such services in accordance with the terms set forth herein.

WHEREAS, the parties wish to set forth the terms and conditions under which the Services will be provided, including scope, compensation, confidentiality and termination provisions.

WHEREAS, the parties intend for this Agreement to constitute the complete agreement between them with respect to the subject matter herein and to supersede all prior discussions, proposals and agreements, whether written or oral.

SCOPE OF WORK

Service Provider shall perform the services described below. Services shall be performed in a professional and workmanlike manner in accordance with industry standards and the schedule agreed by the parties.

PAYMENT TERMS

The Client shall pay Service Provider for the performance of the Services as set forth below. Unless otherwise agreed in writing, all amounts are payable in U.S. Dollars.

Service Provider will submit invoices in accordance with the payment schedule. Client shall pay undisputed invoices within days of receipt. Disputes to any portion of an invoice must be provided in writing within the payment period.

Any undisputed amount not paid when due shall accrue interest at the lesser of (a) % per month, compounded monthly, or (b) the maximum rate permitted by applicable law. In addition, a late charge of may be assessed for administrative costs associated with late payment.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above. Either party may terminate for convenience upon providing the notice period set forth above. Termination shall not relieve Client of obligation to pay for Services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in strict confidence and shall not use or disclose to any third party any Confidential Information of the other party (the "Disclosing Party") except as necessary to perform its obligations under this Agreement. "Confidential Information" includes non-public business, technical, financial and operational information disclosed in any form. Confidential Information does not include information that is or becomes publicly available through no fault of the Receiving Party, or which is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The obligations of confidentiality shall continue for years following termination or expiration of this Agreement, except that trade secrets shall be protected for so long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located in that state, and the parties submit to the exclusive jurisdiction of those courts.

ENTIRE AGREEMENT

This Agreement, together with any exhibits and statements of work expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment to this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Independent Contractor: Service Provider is an independent contractor and shall be solely responsible for all taxes, withholdings and other statutory obligations. Nothing in this Agreement creates an employment, partnership or joint venture relationship.

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Client may assign to an affiliate or in connection with a sale of substantially all of its assets or equity.

Representations: Each party represents and warrants that it has the authority to enter into this Agreement and that the performance of its obligations will not violate any other agreement or applicable law.
