BUSINESS SERVICES AGREEMENT

Parties

Recitals

WHEREAS, Service Provider is engaged in the business of providing professional business and consulting services and represents that it has the skill, experience, and personnel necessary to perform the services described in this Agreement; and

WHEREAS, Client desires to retain Service Provider to perform certain services under the terms and conditions set forth herein, and Service Provider is willing to perform such services on the terms contained in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

Scope of Work

Service Provider shall perform the services and deliverables described below. The services shall be performed in a professional and workmanlike manner consistent with industry standards.

Payment Terms

As consideration for the services rendered by Service Provider, Client shall pay Service Provider in accordance with the schedule and amounts set forth below. All sums payable under this Agreement shall be in United States dollars and exclusive of taxes unless expressly stated otherwise.

Service Provider shall submit invoices to Client in accordance with the Payment Schedule. Client shall pay each undisputed invoice within days of receipt.

Any amount not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law, and Client shall be responsible for all reasonable costs of collection, including attorneys' fees.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach by the other party that remains uncured for 15 days after written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all services performed and expenses incurred through the effective date of termination and for any non-cancellable commitments reasonably made prior to termination.

Confidentiality

Each party agrees that all confidential information disclosed by the other party in connection with this Agreement shall be used solely for the purposes of performing under this Agreement and shall not be disclosed to third parties except as required by law or with the prior written consent of the disclosing party. Confidential information does not include information that is or becomes publicly known through no wrongful act of the receiving party, is rightfully received from a third party without restriction, or is independently developed by the receiving party without reference to the disclosing party's confidential information.

The obligations in this Section shall survive termination or expiration of this Agreement for a period of years.

Independent Contractor; Insurance; Indemnity

Service Provider is an independent contractor and not an employee or agent of Client. Service Provider shall be responsible for all taxes and withholdings and shall maintain insurance appropriate to the services provided. Service Provider shall indemnify and hold Client harmless from claims arising out of Service Provider's negligent acts or omissions, except to the extent caused by Client's gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement; Amendment

This Agreement, including any attachments and exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, and communications. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice. Notice is effective upon receipt.
