Parties

Recitals

WHEREAS, Service Provider, , possesses expertise in providing business services, including but not limited to consulting, implementation, and operational support; and

WHEREAS, Client, , desires to engage Service Provider to perform the services described herein and Service Provider is willing to provide such services under the terms and conditions of this Agreement.

Scope of Work

Service Provider shall perform the services set forth below. The parties may agree in writing to modify the scope and deliverables; any material modification shall be documented as an amendment signed by both parties.

Payment Terms

In consideration for the services, Client shall pay Service Provider the fees and expenses set forth below in accordance with this Payment Terms section.

Term and Termination

The term of this Agreement shall commence on the Start Date and continue until the End Date or until terminated in accordance with this section.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any obligation and fails to cure the breach within the notice period set forth above. Termination shall not relieve Client of the obligation to pay for services performed and work-in-progress through the effective date of termination.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence all non-public information disclosed by the other party (the "Disclosing Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information excludes information that is (i) already known to the Receiving Party without obligation of confidentiality, (ii) becomes publicly available through no fault of the Receiving Party, (iii) is rightfully received from a third party without obligation of confidentiality, or (iv) independently developed without use of the Disclosing Party's Confidential Information.

The Receiving Party shall not disclose Confidential Information to any third party except as required by law or to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. Upon termination or written request, the Receiving Party shall return or destroy Confidential Information and provide written certification of such return or destruction.

Representations, Warranties and Indemnification

Each party represents that it has the full power and authority to enter into this Agreement. Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Client agrees to indemnify and hold Service Provider harmless from and against claims arising from Client's use of the deliverables, except to the extent caused by Service Provider's gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

Entire Agreement; Amendments

This Agreement, together with any exhibits or attachments incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to a successor by merger or acquisition. Notices: All notices must be in writing and delivered to the addresses set forth above or as otherwise designated in writing.
