Business Services Agreement — Thaikhun

This Business Services Agreement (the Agreement) is entered into as of between:

RECITALS

WHEREAS, Client desires to procure certain business services related to restaurant operations, marketing, and operational consulting (the Services); and

WHEREAS, Service Provider represents that it has the professional capability and experience to perform the Services in a commercially reasonable manner; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide the Services to Client.

SCOPE OF WORK

Service Provider shall provide the Services as described below. The Services shall include deliverables, milestones, and performance obligations set forth in this Section and any attachments executed by the parties.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in consideration for the provision of the Services. All payments are payable in lawful currency of the United States unless otherwise agreed.

All amounts not paid when due shall accrue interest at the lesser of the rate specified above or the maximum rate permitted by applicable law. Client shall reimburse Service Provider for reasonable costs of collection, including attorneys' fees, for overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure a material breach within thirty (30) days after receipt of written notice specifying the breach.

Upon termination for any reason, Client shall pay Service Provider for all Services performed and reasonable, non-cancellable commitments made prior to termination. Sections concerning Confidentiality, Indemnification, and Governing Law shall survive termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by a party to the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information excludes information that: (a) is or becomes generally known to the public without breach of this Agreement; (b) was known to the receiving party prior to disclosure; (c) is received from a third party without breach of any obligation of confidentiality; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall: (a) use Confidential Information solely to perform this Agreement; (b) restrict disclosure of Confidential Information to employees, contractors, or advisors with a need to know who are bound by confidentiality obligations no less restrictive than those in this Agreement; and (c) employ reasonable safeguards to protect Confidential Information. The obligations set forth in this section shall remain in effect for years following the disclosure or for the period required by law for certain trade secrets, whichever is longer.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and its affiliates, and their respective officers, directors and employees, from and against claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in the chosen jurisdiction for any disputes arising out of this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments, exhibits, or statements of work expressly incorporated herein, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous understandings and agreements, whether written or oral, relating to the subject matter. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Relationship of Parties: Service Provider is an independent contractor and nothing in this Agreement shall be construed to create a partnership, joint venture, employer-employee, or agency relationship. Neither party shall have authority to bind the other except as expressly provided in writing.
