Essential Sections a Professional TLC Should Contain

A Business Services TLC should include clearly defined sections so parties can find obligations, payment terms, delivery milestones, and signature evidence without ambiguity.

Parties

List full legal names, entity type, and contact information for all contracting parties. Accurate party identification governs tax reporting and determines enforceability under state law.

Scope

Define services, exclusions, performance standards, and acceptance criteria in measurable terms. Attach a change-control process, required deliverable formats, escalation steps, and related timelines for missed milestones.

Deliverables

Specify outputs, delivery method, file formats, and acceptance testing procedures. Include version control, retention requirements, and tie payment milestones to approved deliverables to minimize disputes.

Payment

State fees, billing schedule, invoicing address, accepted payment methods, late payment penalties, and dispute procedures. Clarify tax responsibilities and terms for disputed invoices.

Confidentiality

Include definition of confidential information, duration of confidentiality obligations, permitted disclosures, and remedies for breach. Address data protection requirements if handling personal health or financial records.

Signatures

Provide signature blocks for each party with printed name, title, date, and signature line. Specify whether electronic signatures are permitted and whether notarization or witnessing is required by law.

Security and Compliance Basics to Record

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: Timestamps, IP, action history retained
HIPAA: BAA available for covered entities
21 CFR: Compliant for FDA records when enabled
SOC 2: SOC 2 Type II certification available
Authentication: Supports SMS, email, SSO, and KBA

Key Penalties and Risks to Watch For

1099 Late Penalty: 1099 late penalties: $60–$330 per form
I-9 Violations: Paperwork fines $281–$2,789
Name Mismatch: Triggers backup withholding
Missing Consent: Missing ESIGN disclosures can void consent
Unauthorized Signer: May render agreement unenforceable
Data Breach: Regulatory fines and reputational harm

Common Preparation Pitfalls to Avoid

  • Using vague scope language such as 'as needed' or 'reasonable efforts' without measurable milestones leads to disputes over performance and payment.
  • Failing to match signer names exactly to W-9 or tax records can trigger backup withholding, tax reporting errors, and delays in accounts payable.
  • Omitting a governing law clause or selecting an inappropriate jurisdiction increases litigation uncertainty and may raise enforceability issues.
  • Assuming all jurisdictions accept electronic notarization; RON and witness rules vary by state and may require in-person steps.
