What the Business Services TMA Agreement Covers

The Business Services TMA Agreement is a contractual framework that sets terms for delivering and managing specified business services between a provider and a client. It defines scope of work, deliverables, performance standards, fees, payment terms, confidentiality, intellectual property allocation, termination rights, and dispute resolution. The agreement also identifies responsibilities for data handling, subcontracting, and regulatory compliance where applicable. Parties commonly use it to formalize ongoing service relationships, align expectations, and create measurable performance obligations before operational work begins.

Why Parties Rely on a TMA Agreement

A TMA agreement clarifies roles, protects confidential information, and creates enforceable performance standards. It reduces operational disputes by documenting deliverables, timelines, and payment mechanics while allocating legal risk between parties.

Why Parties Rely on a TMA Agreement

Who Typically Prepares and Signs This Agreement

The agreement is used by internal procurement, operations, and legal teams to document third-party service relationships.

  • Procurement and vendor management teams who evaluate, negotiate, and onboard service providers.
  • Operations managers who define scope, acceptance criteria, and performance metrics for delivered services.
  • Legal and finance teams who review liability, payment terms, and tax or reporting consequences.

Service providers, finance officers, and authorized executives are common signers once internal approval workflows complete.

Authorized Signers and Roles

Provider Signatory

Chief operating officers, authorized vendor representatives, or delegated officers who can bind the provider must sign. Confirm corporate authority and, for entities, verify board or officer authorization where the provider's bylaws require it.

Client Signatory

CFOs, procurement directors, or other authorized executives should sign on behalf of the client. Ensure the signer has express authority to incur payments and accept indemnity or liability provisions.

Core Clauses to Include in a Professional TMA Agreement

A well-drafted agreement balances commercial detail and legal protections. The following components form the contract core and help avoid ambiguity during delivery and dispute resolution.

Scope of Work

Clear description of services, deliverables, acceptance criteria, performance metrics, and any excluded tasks to prevent scope creep and disputes.

Fees & Payment

Detailed pricing, invoicing schedule, late payment interest, expense reimbursement rules, and any milestone payments tied to acceptance events.

Term & Termination

Initial term, renewal mechanics, termination for cause and convenience, notice periods, transition assistance, and surviving provisions post-termination.

Confidentiality & Data

Non-disclosure obligations, data handling and retention, ownership of confidential information, and security requirements for protected data.

IP & Work Product

Assignment or license terms for intellectual property created under the agreement, pre-existing IP carve-outs, and permitted use rights.

Liability & Indemnity

Limits of liability, indemnification scope, insurance requirements, and any caps or carve-outs for consequential damages.

Common Compliance and Security Items to Verify

Step-by-Step: Completing and Executing the TMA Agreement

Follow a consistent sequence to reduce errors: prepare, review, execute, and distribute. Each step builds assurance for enforceability and operational readiness.

  • 01
Prepare Draft: Populate all fields and attach exhibits before sharing for review.
  • 02
Internal Review: Have legal and finance review scope, liability, and tax implications.
  • 03
Signatures: Obtain authorized signatures; record date and signer identity.
  • 04
Distribution: Share fully executed copies with stakeholders and file securely.

How to Configure an Online Signing Workflow

Set up the digital workflow to match your internal approvals and authentication requirements before sending for signature.

Field Configuration
Signer Authentication Email link, SMS code, or KBA depending on risk
Signing Order Sequential or parallel signer flow as required
Template Usage Create reusable templates for recurring agreements
Reminders & Expiry Set automatic reminders and link expiry dates

Where to Send and How to Submit the Agreement

Distribution depends on the recipient and required level of authentication. Choose the delivery channel to preserve evidence of receipt and assent.

  • Email Delivery: Standard for most corporate signers; provides timestamped receipt.
  • Secure Portal: Use when attachment size or access control is important.
  • In-Person Signing: Preferred where original wet-signature or notarization is needed.
  • eSignature Service: Use compliant platforms for audit trails and retention.

Digital Signing and Technical Requirements

Verify the eSignature platform supports required authentication, integrations, and file formats before e-execution.

  • File Formats: PDF, DOCX, HTML supported
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Authentication: Email, SMS, SSO options

Ensure the provider meets compliance needs (ESIGN/UETA, HIPAA BAA where required) and maintains secure storage with AES-256 encryption and robust audit trails.
