BUSINESS SERVICES TOPPER

RECITALS

WHEREAS, Client requires certain professional business services described herein to support Client's operations, growth, or projects; and

WHEREAS, Service Provider represents that it possesses the experience, personnel, and resources necessary to perform the agreed services in a professional and timely manner; and

WHEREAS, the parties desire to set forth the principal terms and conditions under which Service Provider will provide such services to Client.

SCOPE OF WORK

Service Provider will perform the services described below in accordance with the specifications, milestones, and deliverables agreed by the parties. The scope may be amended only by written change order signed by both parties.

Payments are due within days of the date of invoice receipt unless otherwise agreed in writing. All payments shall be made in United States dollars unless otherwise agreed.

Upon termination, Service Provider will deliver all completed work and Client will pay for all services performed and expenses incurred through the effective date of termination, subject to any valid setoffs or adjustments in accordance with this Agreement.

CONFIDENTIALITY

Each party (the Receiving Party) shall hold in confidence and not disclose to any third party any non-public information of the other party (the Disclosing Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that (a) is or becomes publicly known through no act or omission of the Receiving Party; (b) is lawfully received from a third party without restriction; (c) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law or judicial process, provided the Receiving Party gives prompt notice to the Disclosing Party and cooperates to seek protective measures.

The Receiving Party shall use Confidential Information only to perform its obligations under this Agreement and shall return or destroy such Confidential Information upon termination or upon the Disclosing Party's written request.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that state for any disputes arising out of this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits and mutually executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or waiver of any provision of this Agreement shall be valid unless in writing and signed by authorized representatives of both parties.

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.
