Business Services TRAC Contract

This Business Services TRAC Contract ("Contract") is entered into as of Effective Date: by and between Client Name: and Service Provider Name: . Each of Client and Service Provider may be referred to herein as a "Party" and collectively as the "Parties."

WHEREAS

WHEREAS, Client desires to engage Service Provider to perform business services using the TRAC model (time, resources, alignment, and cost tracking) as set forth herein, and Service Provider represents that it has the qualifications, personnel, and capacity to perform such services in accordance with the terms of this Contract.

WHEREAS, the Parties wish to establish the scope, payment terms, confidentiality obligations, and other contractual terms governing the performance of the services described below.

PARTIES AND NOTICE INFORMATION

SCOPE OF WORK

Service Provider shall perform the services described below and any ancillary tasks reasonably necessary to accomplish the stated objectives. All services shall be performed in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

As consideration for the services, Client shall pay Service Provider in accordance with the following terms.

TERM AND TERMINATION

This Contract shall commence on Start Date: and shall continue until End Date: , unless earlier terminated as provided herein.

Either Party may terminate this Contract for Cause upon written notice if the other Party materially breaches any obligation and fails to cure such breach within the cure period specified in the notice, provided the non-breaching Party has given the breaching Party a reasonable opportunity to cure. Termination shall not relieve Client of its obligation to pay for services performed and expenses properly incurred through the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one Party ("Discloser") to the other Party ("Recipient") that, by its nature or the circumstances of disclosure, should reasonably be understood to be confidential. Confidential Information does not include information that is (a) already known to Recipient without obligation of confidentiality, (b) or becomes publicly available through no fault of Recipient, or (c) is rightfully received from a third party without restriction.

Recipient shall (i) hold Confidential Information in strict confidence, (ii) use Confidential Information only to perform obligations under this Contract, and (iii) restrict disclosure to Recipient's employees, contractors, and advisors who have a need to know and who are bound by confidentiality obligations no less protective than those in this Contract. Upon written request or upon termination of this Contract, Recipient shall return or destroy Confidential Information and certify such destruction if requested.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each Party shall indemnify, defend and hold harmless the other Party from and against any third-party claims arising out of the indemnifying Party's gross negligence, willful misconduct, or material breach of this Contract, provided that the indemnified Party provides prompt written notice and reasonable cooperation in the defense of any claim.

Except for liability arising from gross negligence, willful misconduct, or a Party's indemnification obligations, neither Party's aggregate liability for any and all claims arising under or relating to this Contract shall exceed the total amounts paid by Client to Service Provider under this Contract during the twelve (12) months preceding the event giving rise to the claim. In no event shall either Party be liable for consequential, incidental, punitive, or special damages.

GOVERNING LAW AND DISPUTE RESOLUTION

This Contract shall be governed by and construed in accordance with the laws of State of Governing Law: without regard to its conflicts of law provisions. The Parties shall attempt in good faith to resolve disputes promptly by negotiation. If negotiation fails, the Parties agree that disputes shall be resolved in the courts located in the chosen governing jurisdiction.

ENTIRE AGREEMENT; AMENDMENT

This Contract, including any attachments, exhibits, and statements of work incorporated by reference, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both Parties.

MISCELLANEOUS

If any provision of this Contract is found invalid or unenforceable, the remaining provisions will continue in full force and effect. The Parties are independent contractors and nothing in this Contract creates an agency, partnership, or joint venture. Each Party shall comply with applicable laws and regulations in performing its obligations.
