What the Business Services TSAF Is and When It’s Used

The Business Services TSAF (Third-Party Services Authorization Form) is a standardized document used to authorize, describe, and approve work performed by external vendors or contractors for a business. It captures parties, scope of services, deliverables, timing, compensation, approval authority, and signature blocks; it can include optional notary or witness sections when required by state law or internal policy. Organizations use the TSAF to create a clear contractual baseline, support invoice reconciliation, and document access or data-handling permissions tied to vendor onboarding and operational compliance.

Why the TSAF Matters for Clear Vendor Relationships

The Business Services TSAF reduces ambiguity about responsibilities, payment, and approval flow while creating a record usable in disputes. When signed electronically consistent with ESIGN (15 U.S.C. ch. 96) and state UETA rules, the TSAF supports enforceability and reliable audit trails.

Why the TSAF Matters for Clear Vendor Relationships

Who Typically Completes or Signs a TSAF

Common users include procurement, vendor management, legal, finance, and operational managers who approve third-party services.

  • Procurement teams who onboard vendors and confirm scope and pricing before purchase orders are issued.
  • Legal or contract teams who ensure terms, confidentiality, and indemnity provisions align with corporate policy.
  • Finance and accounts payable teams who verify compensation, billing cycles, and invoice routing before payments.

Many organizations route the TSAF through role-based approval to separate procurement, legal review, and final signature authority.

Core Sections to Include in a Professional TSAF

A comprehensive TSAF groups essential data into discrete sections so reviewers can find terms, approvals, and obligations without ambiguity.

Parties

Identify full legal names and entity types for the company and the vendor, including EIN or tax ID when relevant for payments and reporting.

Scope

Describe services, deliverables, milestones, and acceptance criteria with sufficient detail to tie invoices and change requests to specific obligations.

Compensation

State fixed fees, hourly rates, expense reimbursement rules, payment terms, invoicing cadence, and any retainers or performance withhold.

Timing

Specify effective date, expected completion or renewal date, termination notice periods, and milestone dates for deliverables and payments.

Approvals

Name individuals authorized to approve work, approve invoices, or modify scope; include title, department, and required approval thresholds.

Signatures

Provide signature blocks for authorized signers, dates, and optional witness or notary sections where state law or policy requires authentication.

Key Data Elements Required on the TSAF

Legal Names: Full registered entity name
Tax ID: EIN or SSN/TIN
Service Description: Concise scope summary
Payment Terms: Net terms and rates
Effective Date: MM/DD/YYYY format
Signature Data: Signer name, title, date

Step-by-Step: Completing the TSAF

Follow these sequential steps to ensure the TSAF is complete, authorized, and ready for filing or execution.

  • 01
Prepare: Gather vendor legal name, tax ID, scope, and pricing.
  • 02
Draft: Enter scope, deliverables, dates, and payment terms clearly.
  • 03
Review: Route to legal and finance for contract and tax checks.
  • 04
Execute: Collect signatures, witness/notary if required, and record retention details.

Configuring an Online TSAF Workflow

Set up template fields, signer order, and authentication to match internal approval policies and audit needs.

Field Configuration
Template Create reusable template with locked core fields
Signer Order Define sequential or parallel signing steps
Authentication Choose email, SMS code, or KBA
Notifications Enable reminders and completion confirmations

Where to Send or File the Completed TSAF

Decide routing based on organizational rules: vendor file, contract repository, and accounts payable systems are typical destinations.

  • Vendor Copy: Provide a signed copy to the vendor for their records.
  • Contract Repository: Store executed TSAFs in the central contract management system.
  • Accounts Payable: Send to finance for invoice matching and payment setup.
  • Legal Archive: Retain a copy for compliance, audit, and dispute resolution.

Digital Signing and Platform Considerations

Choose a platform that supports the document formats, authentication methods, and retention policies your organization requires.

  • Formats: PDF, Word DOCX, and editable templates
  • Integrations: CRM/ERP connectors and cloud storage
  • Authentication: Email, SMS, KBA, or advanced methods

Platforms with API and integration support streamline routing to systems such as Salesforce, NetSuite, Microsoft 365, and cloud repositories for retention and audit.

Typical Timelines and Processing Expectations

Establish internal SLAs for completing, reviewing, and filing the TSAF to avoid operational delays and ensure timely vendor onboarding.

Submission Lead Time:

Submit TSAF at least 10 business days before services begin.

Vendor Response:

Expect vendor return within 3–5 business days.

Internal Review:

Allow 2–3 business days for legal and finance review.

Execution Window:

Complete signatures within 7 business days to lock pricing.

Record Upload:

Archive executed TSAF within 48 hours of completion.

Common Mistakes to Avoid When Preparing a TSAF

  • Missing exact legal names or TINs, which can block vendor setup and tax reporting.
  • Vague scope language that leaves deliverables and acceptance criteria open to dispute.
  • Omitting approval authority or signature authority, causing invalid or unauthorized commitments.
  • Failing to record execution metadata (dates, signer emails, IP), which weakens auditability.

Risks and Potential Consequences of an Incorrect TSAF

Contract Invalidity: May be unenforceable
Payment Delays: Vendor setup or invoices blocked
Tax Penalties: Backup withholding, reporting fines
Regulatory Fines: HIPAA or sector fines possible
Operational Disruption: Work stoppage or scope disputes
Audit Findings: Compliance failures noted
