BUSINESS SERVICES UMIUM

This Business Services Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client desires to engage Service Provider to perform business services including advisory, implementation, and related support as further described in the Scope of Work; and

WHEREAS, Service Provider represents that it has the necessary expertise, personnel, and resources to perform such services in a professional and workmanlike manner in accordance with industry standards; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide the services and Client will compensate Service Provider.

SCOPE OF WORK

Service Provider shall perform the services described below. The Scope of Work shall include deliverables, milestones, and acceptance criteria. Any changes to the Scope of Work must be agreed in writing by authorized representatives of both parties and, where applicable, may adjust Fees and schedule.

PAYMENT TERMS

Client shall pay Service Provider for the services performed in accordance with the fees, schedule and invoice procedures set forth below. All monetary amounts are in the currency agreed between the parties.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon prior written notice of Notice Period (days): . Either party may terminate immediately for material breach which is not cured within thirty (30) days after written notice of such breach.

CONFIDENTIALITY

Each party (the "Recipient") shall keep confidential and shall not disclose to any third party any non-public proprietary or confidential information of the other party (the "Discloser") received in connection with this Agreement. Confidential information does not include information that (i) is or becomes publicly available through no fault of Recipient, (ii) was rightfully in Recipient's possession prior to receipt from Discloser, (iii) is rightfully received from a third party without restriction, or (iv) is independently developed by Recipient without use of Discloser's confidential information. Recipient shall use at least the same degree of care to protect Discloser's confidential information as Recipient uses to protect its own confidential information, but in no event less than reasonable care.

INTELLECTUAL PROPERTY

Except as otherwise agreed in writing, Service Provider retains ownership of all pre-existing intellectual property and tools, including methodologies and know-how. To the extent Service Provider creates new deliverables specifically for Client under this Agreement, such deliverables will be owned by Client upon full payment, subject to Service Provider's retained rights in its underlying tools and general skills. The parties may agree in writing to specific license grants where appropriate.

INDEPENDENT CONTRACTOR; TAXES

Service Provider is an independent contractor. Nothing in this Agreement creates an employment, joint venture, partnership, or agency relationship. Service Provider is solely responsible for payment of taxes and other obligations arising from fees paid under this Agreement.

INDEMNIFICATION; LIMITATION OF LIABILITY

Each party agrees to indemnify, defend and hold harmless the other party from third-party claims arising out of that party's gross negligence or willful misconduct. EXCEPT FOR LIABILITY RESULTING FROM A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. THE AGGREGATE LIABILITY OF EACH PARTY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE BY CLIENT TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses below by hand, nationally recognized overnight carrier, or certified mail (return receipt requested), or by electronic delivery where receipt is acknowledged by the receiving party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Governing State: without regard to principles of conflict of laws. The parties submit to the exclusive jurisdiction of the courts located in that state for resolution of disputes.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments and the Scope of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, negotiations and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to a successor in interest in connection with a sale of all or substantially all of its business.
