BUSINESS SERVICES UPDATED AGREEMENT

This Business Services Updated Agreement ("Agreement") is entered into as of Effective Date: by and between the parties listed below.

WHEREAS, Service Provider is duly organized and engaged in the business of providing the professional services described below; and

WHEREAS, Client previously entered into a services agreement dated and the parties desire to amend and restate terms as set forth in this Updated Agreement; and

WHEREAS, the parties intend for this Agreement to supersede prior inconsistent provisions and to set forth their complete understanding with respect to the subject matter herein.

Scope of Work

Service Provider shall perform the services and deliverables described below in accordance with the schedules and specifications set forth. The parties acknowledge that Services may include consultation, project management, deliverable creation, and reasonable revisions as specified.

Payment Terms

In consideration for the Services, Client shall pay Service Provider the fees and expenses set forth below. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

Service Provider shall invoice Client in accordance with the Payment Schedule. Client shall pay undisputed amounts within the Payment Due period. Disputed amounts shall be raised in good faith and both parties shall cooperate to resolve disputes promptly. Unpaid amounts not subject to a bona fide dispute shall accrue interest as set forth above and Service Provider may suspend performance after providing ten (10) days' written notice of non-payment.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for cause upon material breach by the other party if such breach remains uncured for a period of thirty (30) days after written notice specifying the breach, except that material nonpayment may be cured within ten (10) days unless otherwise specified. Termination shall not relieve Client of the obligation to pay for Services performed and expenses incurred through the effective date of termination.

Confidentiality

"Confidential Information" means non-public information disclosed by one party ("Discloser") to the other ("Recipient") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, business plans, technical data, pricing, customer lists, and trade secrets.

Recipient shall (a) protect Confidential Information with at least the same degree of care that it uses to protect its own confidential information but not less than reasonable care; (b) not use Confidential Information except to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those contained herein. Confidential Information does not include information that is or becomes publicly available through no breach by Recipient, was in Recipient's possession prior to disclosure, is rightfully received from a third party without restriction, or is independently developed without use of Discloser's Confidential Information.

The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years, except with respect to trade secrets, for which protection shall continue for so long as the information remains a trade secret under applicable law. The parties acknowledge that a breach of this Confidentiality provision may cause irreparable harm for which monetary damages may be insufficient and that injunctive relief shall be an available remedy.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Each party submits to the exclusive jurisdiction of the state and federal courts located in that State for any action arising out of this Agreement.

Entire Agreement; Miscellaneous

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification must be in writing signed by authorized representatives of both parties.

Service Provider is an independent contractor and nothing in this Agreement shall be construed to create a partnership, joint venture, employer-employee relationship, or agency relationship. Neither party may assign this Agreement without the other's prior written consent, except that Service Provider may assign to an affiliate or successor entity in connection with a sale of all or substantially all of its assets or equity.
