What the Business Services VAL-RA Is and when it’s used

The Business Services VAL-RA is a formal valuation and risk assessment record used to document the scope, assumptions, and conclusions of a business services valuation. It typically summarizes the subject business, the valuation method(s) applied, key inputs and sensitivities, and identified operational or regulatory risks that affect value. Organizations use the VAL-RA to support internal decisions, lender reviews, transaction due diligence, compliance reporting, and insurer evaluations. Where electronic execution is used, the record should preserve the audit trail, signer attribution, and an immutable copy for retention and future reference.

Why a clear VAL-RA matters for business, finance, and compliance

A well-drafted VAL-RA consolidates valuation assumptions and risk findings into a single, auditable document that supports governance, underwriting, and regulatory review. It reduces ambiguity in deal negotiations and provides documented evidence for tax, lender, or insurance purposes while helping organizations track changes over time.

Why a clear VAL-RA matters for business, finance, and compliance

Typical users and stakeholders of the VAL-RA

The VAL-RA is completed and reviewed by a mix of internal and external stakeholders depending on purpose and scope.

The document’s audience drives required detail, supporting exhibits, and whether third-party review or notarization is needed.

Who typically signs and certifies the VAL-RA

Chief Financial Officer

The CFO often certifies that inputs supplied by the company are accurate to the best of their knowledge, attests to governance review, and signs to confirm acceptance of the valuation methodology and reported conclusions.

Valuation Specialist

An external appraiser or in-house valuation lead typically signs to attest that the VAL-RA reflects professionally accepted methodologies, documents sources, and discloses assumptions and limitations relevant to the opinion of value.

Step-by-step: prepare and finalize the VAL-RA

Follow these sequential steps to produce a defensible VAL-RA and ensure signatures and records meet legal and audit requirements.

  • 01
Prepare document: Collect financials, contracts, and market data; populate core fields.
  • 02
Assign reviewers: Set internal reviewers and an external appraiser if required.
  • 03
Send for signatures: Route in role order using an e-signature platform with audit trail.
  • 04
Archive final: Save signed PDF with metadata and retention tag.

Where the VAL-RA goes after completion

Routing and delivery depend on purpose — internal recordkeeping, lender submission, regulatory filing, or insurance placement.

  • Internal repository: Store signed copy in your document management system with retention metadata.
  • Lender or investor: Provide signed VAL-RA as part of diligence package in secure portal.
  • Regulatory filing: Include VAL-RA where required by compliance or reporting rules.
  • Insurance carrier: Attach VAL-RA to underwriting submission to document exposure analysis.

Recommended electronic workflow settings

Configure a repeatable workflow to preserve signatures, timestamping, and secure access for reviewers and signers.

Field Configuration
Authentication method Email link | SMS code for added verification
Routing order Sequential signing with reviewer step first
Template fields Use conditional fields for optional exhibits
Retention settings Apply 7-year retention tag and versioning

Technical considerations for e-signature and eSubmission

Choose a platform that preserves an unalterable audit trail, supports required authentication, and exports ISO-compatible signed PDFs.

  • Integrations: Support for Google Workspace, Microsoft 365, Salesforce
  • File formats: Accepts PDF, DOCX, and exports PDF/A
  • Security: TLS in transit and AES-256 at rest

Confirm the platform can provide signed certificates, retention controls, and vendor agreements (BAA or SSO) when required by policy.

Key security and compliance attributes to verify

Encryption in transit: TLS 1.2/1.3
Encryption at rest: AES-256
Third-party attestation: SOC 2 Type II
Healthcare compliance: HIPAA (BAA required)
Federal e-sign law: ESIGN and UETA compliant
FDA-regulated records: 21 CFR Part 11 support

Consequences of incomplete or incorrect VAL-RA records

Tax exposure: Incorrect reporting may trigger penalties
Contract risk: Unclear valuation can void deal terms
Regulatory fines: Noncompliance may lead to enforcement
Lender rejection: Missing documentation can delay funding
Data breach liability: Insufficient controls increase breach risk
Litigation exposure: Invalid signatures jeopardize enforceability

Common mistakes to avoid when preparing a VAL-RA

  • Failing to document valuation assumptions clearly, leaving reviewers unable to reproduce results or assess sensitivity.
  • Using inconsistent effective dates across exhibits, which can create disputes about the period of analysis.
  • Omitting supporting schedules or failing to attach necessary contracts that materially affect revenue or cost projections.
  • Allowing unsigned or poorly authenticated approvals that undermine the chain of custody and auditability.

Real-world examples showing VAL-RA use and execution

These short examples illustrate how organizations use a VAL-RA in practice and how e-signature and retention controls supported each case.

Optica Ventures LLC — Brian Fitzgibbons

Optica used a standardized VAL-RA template to document assumptions and comparables for a debt refinance

  • The interface was simple and easy-to-use for internal teams
  • The signed records were delivered to lenders electronically, speeding review while preserving an audit trail for subsequent compliance checks.

Martin Properties — Tim Martin

A regional property manager used the VAL-RA to value a services division during a sale process

  • The team completed execution on mobile devices while offline when needed
  • Final signed reports were stored in a secure repository and accepted by buyers without in-person notarization.

Practical tips to produce a reliable VAL-RA quickly

Apply standard controls to reduce rework and ensure the valuation record is defensible and auditable.

Use a template with required exhibits
Standardize the VAL-RA structure and required attachments so reviewers always receive a complete package and internal reviewers can check consistency quickly.
Lock final signed PDFs
Export the signed report as a tamper-evident PDF/A file and record the audit certificate for future verification.
Capture signer identity
Require at least email plus an additional authentication factor for signers whose approval certifies financial data.
Maintain version history
Ensure every draft and signed version is archived with timestamps and change logs to support later audits or disputes.

Typical timelines and internal deadlines for a VAL-RA engagement

Set clear internal deadlines to avoid delays in deals or regulatory submissions; the schedule below is a common example for a medium-complexity engagement.

Request and kickoff:

Client provides materials within 48–72 hours after engagement
